0 0 <br />~nU F~GF r /1 <br />u~ t~ ~ <br />Page 7 <br />14. ENTRY AND INSPECTION: Tenant shall permit Landlord and its agents to enter the Premises at <br />all reasonable times to: <br />a. Inspect the Premises or Building, <br />b. Maintain the Premises or Building, <br />c. Make such repairs to the Premises as to which Landlord is obligated or that are within Landlord's <br />discretion; <br />d. Show the Premises to potential tenants, if such showing is within 180 days of the Expiration Date, <br />or after Tenant's notice of intent to vacate the Premises at a time different from the Expiration <br />Date; or <br />e. Conduct any other reasonable action. <br />15. CONDEMNATION: <br />a. Government Action: This Lease shall terminate upon the occurrence of any one or combination <br />of the following: <br />(1) Any portion of the Premises is taken by the exercise of the power of eminent domain; <br />(2) Any portion of the Premises is sold to the holder of such power pursuant to a threatened <br />taking; <br />(3) Any portion of the Premises is made unfit or unavailable for its current use by other <br />governmental action, including, without limitation, zoning and building code orders. <br />b. Tenant's Interest: Tenant shall not be entitled to, and hereby waives, any and all rights to any <br />part of any condemnation award or purchase price associated with any condemnation action. <br />However, nothing contained in this Lease shall be construed to preclude Tenant from directly <br />prosecuting the condemning authority for any claim. <br />16. SIGNS: Tenant shall not place, cause to be placed, or permit to be placed any sign, advertisement, <br />notice, or display on any part of the Premises or the Building; except of such color, size and style, and in <br />such locations as shall be approved in writing in advance by Landlord. If Tenant places any sign upon the <br />Premises or the Building without the consent or approval of Landlord and fails or refuses to remove it <br />immediately upon demand, Landlord may enter the Premises and remove the same at Tenant's cost. <br />Landlord shall provide signagc in the Building lobby indicating the location of Tenant's Premises. <br />Tenant shall be responsible for signage on the Premises' door. <br />17. TAXES AND LICENSES: Tenant shall list all of its personal property and trade fixtures for taxes <br />separately from that of Landlord, and Tenant shall be responsible for payment of taxes on such items to <br />any applicable taxing authority. Tenant shall be responsible for obtaining and paying for all pertinent <br />licenses and permits from any applicable governmental authority needed for tenant's use of Premises. <br />13. SUBORDINATION and EVENT OF MORTGAGE: Tenant agrees that at any time and within <br />fifteen days of Landlord's written request, it will deliver to Landlord the following: <br />a. An executed and acknowledged instrument amending this Lease in such respects as may be <br />required by the holder of any mortgage or deed of trust related to the Building, provided that any <br />such amendment shall not materially alter or impair any of Tenant's rights and remedies under <br />this Lease, <br />b. Any such instrument or instruments which may be necessary or convenient to subordinate the <br />rights of Tenant under this Lease to any mortgage, deed of trust, or other encumbrance executed <br />by Landlord; and <br />
