Contractor acknowledges that during the time that he works for the LCPHD, he will have access to and become acquainted with various trade secrets, inventions, innovations, process, information, records and specifications owned or licensed by the LCPHD and/or used by the LCPHD in connection with the operation of its business, including without limitation, the LCPHD's business and product processes, methods, customer lists, accounts and procedures. The Contractor agrees that he will not disclose any of the following information and materials, directly or indirectly, or use any of them in any manner, either during the term of this Agreement or at any time thereafter, except as required in the course of this engagement with the LCPHD. • All files, • Records, • Documents, • Information, • Letters, • Notes, • Media lists, • Creative work, • Notebooks.. and similar items relating to the business of the LCPHD, whether prepared by Contractor or otherwise coming into his possession, shall remain the exclusive property of the LCPHD. The Contractor also agrees to sign the LCPHD's standard form related to Patient Confidentiality. 19. Record keeping, Audit and Inspection of Records. The Contractor shall maintain books, records, and other compilations of data relating to services performed under this Agreement that demonstrate that he or she worked as an independent contractor. All such records shall be kept for at least six years. If any litigation, claim, negotiation, audit or other action involving the records starts prior to the expiration of the applicable retention period, all records shall be kept until action is completed and fully resolved. The IRS, LCPHD, or any other entity involved in the action shall have the right at reasonable times and upon reasonable notice, to examine and copy, at reasonable expense, the books, records and other compilations of data of the Contractor which pertain to the provisions and requirements of this Contract. Such access shall include on- site audits, review and copying of records.
