Confidentiality. <br />Contractor acknowledges that during the time that he works for the LCPHD, he will <br />have access to and become acquainted with various trade secrets, inventions, innovations, <br />process, information, records and specifications owned or licensed by the LCPHD and/or <br />used by the LCPHD in connection with the operation of its business, including without <br />limitation, the LCPHD's business and product processes, methods, customer lists, <br />accounts and procedures. <br />The Contractor agrees that he will not disclose any of the following information and <br />materials, directly or indirectly, or use any of them in any manner, either during the term <br />of this Agreement or at any time thereafter, except as required in the course of this <br />engagement with the LCPHD. <br />• <br />All files, <br />• <br />Records, <br />• <br />Documents, <br />• <br />Information, <br />• <br />Letters, <br />• <br />Notes, <br />• <br />Media lists, <br />• <br />Creative work, <br />• <br />Notebooks.. <br />and similar items relating to the business of the LCPHD, whether prepared by Contractor <br />or otherwise coming into his possession, shall remain the exclusive property of the <br />LCPHD. The Contractor also agrees to sign the LCPHD's standard form related to <br />Patient Confidentiality. <br />19. Record keeping, Audit and Inspection of Records. <br />The Contractor shall maintain books, records, and other compilations of data <br />relating to services performed under this Agreement that demonstrate that he or she <br />worked as an independent contractor. <br />All such records shall be kept for at least six years. If any litigation, claim, <br />negotiation, audit or other action involving the records starts prior to the expiration of the <br />applicable retention period, all records shall be kept until action is completed and fully <br />resolved. <br />The IRS, LCPHD, or any other entity involved in the action shall have the right at <br />reasonable times and upon reasonable notice, to examine and copy, at reasonable <br />expense, the books, records and other compilations of data of the Contractor which <br />pertain to the provisions and requirements of this Contract. Such access shall include on- <br />site audits, review and copying of records. <br />
