( EEII STATE OF NORTH CAROLINA CONTRACT FOR GEOGRAPHIC COUNTY OF LEE INFORMATION SERVICES (GIS) THIS AGREEMENT, made and entered into this 7th day of June , 2005, by and between the City of Sanford, a municipal corporation chartered by the State of North Carolina, hereinafter referred to as "City", and the County of Lee, one of the counties of the State of North Carolina and a body both politic and corporate, hereinafter referred to as "County"; WITNESSETH: THAT WHEREAS, the City currently provides professional comprehensive geographic information services and E-911 addressing through its Strategic Information Services Division; and WHEREAS, the County currently provides for its GIS services through its Land Records Division located within its Tax Administration Department; and WHEREAS, it has been determined that the quality and quantity of services provided by the agencies individually could be greatly improved if they were merged into a single agency operated and funded by the County; and WHEREAS, the County has agreed to operate and fund such an agency as a revised Strategic Information Services Division of the Sanford/Lee County Community Development Department, which by contract will provide services to the City of Sanford and continue to be housed in the Federal Building located at 226 Carthage Street, Sanford, N.C.; and WHEREAS, by action of the Lee County Board of Commissioners and the Sanford City Council, the parties hereto have reached an agreement concerning the provision of Geographic Information Services (GIS) to the City; NOW, THEREFORE, for and in the consideration of the payment hereinafter mentioned, the mutual promises herein contained and the mutual benefits to result therefrom, and pursuant to the provisions of Chapter 160A and Chapter 153A of the North Carolina General Statutes, the City and County agree as follows: TERM. The term of this agreement shall be for one (1) year, beginning July 1, 2005 and ending June 30. 2006, and shall be renewed automatically thereafter for additional one (1) year terns on the same terms and conditions stated herein. Any modifications necessary shall be submitted with supporting justification to the City before April 1, each fiscal year. If the parties fail to agree to any modifications by June 30 each fiscal year, then the contract shall terminate but the services shall continue to be provided for a period of six (6) months, under the then current terms without modification. 2. SERVICES. The County agrees to provide the City comprehensive strategic information services (GIS) on substantially the same basis to all City departments, officials and staff as is currently being provided. All City departments, officials and staff will be provided unlimited access to the comprehensive geographic information (GIS) for the payment stated hereinafter which access shall include, but not be limited to, phone consultations, provision of maps,
