BOOK tae 399 <br />WHEREAS, the Board of Commissioners has <br />leased said premises for a nominal rent to Lee County <br />Hospital, Incorporated, for the operation of a hospital <br />by an instrument dated September 7, 1977; and <br />WHEREAS, the Lee County Hospital, Incorporated, <br />and American Medical International, Inc. , have negotiated <br />a proposed agreement for the purchase of Lee County Hos- <br />pital, Incorporated property and for the operation of a <br />hospital on the present site while American Medical Inter- <br />national, Inc. , is building a new facility; and <br />WHEREAS, the Board of Commissioners and- <br />American Medical International, Inc. , have negotiated <br />for a proposed lease of the demised premises to American <br />Medical International of North Carolina, Inc. , during the <br />period of construction and contingent upon termination of <br />the existing lease with Lee County Hospital, Incorporated, <br />which said Lee County Hospital, Incorporated, has indicated <br />its desire to terminate; and <br />WHEREAS, the American Medical International of <br />North Carolina, Inc. , proposest o lease the premises for a <br />term of three years, to begin when the contractual and reg- <br />ulatory conditions of the agreement between the parties have <br />been met, which must occur on or before January 1, 1981, <br />and to provide for extensions up to two years on a month to <br />month basis, so that the total period of the lease cannot <br />exceed five years and therefore could not extend beyond <br />December 31, 1985; and <br />WHEREAS, the rental is to be not less than $300, 000 <br />annually and the final rental determination shall include suff- <br />icient funds to satisfy the remaining financial liability of the <br />County under the Hill-Burton Program; and <br />WHEREAS, the premises have been used as a <br />hospital for many years and will not be needed by the County <br />for other purposes during the term of the proposed lease; <br />NOW, THEREFORE, BE IT RESOLVED BY THE <br />BOARD OF COMMISSIONERS FOR LEE COUNTY, AS FOLLOWS: <br />1. The offer of the Lee County Hospital, Incorporated <br />to terminate its lease effective upon the date that the lease with <br />American Medical International of North Carolina, Inc. , <br />begins is accepted and the Chairman and Clerk are authorized to <br />execute and deliver instrument to this effect for and on behalf of <br />the County. <br />2. It hereby determines that the property described in <br />Exhibit A attached hereto will not be needed by the County for the <br />term of the proposed lease with American Medical International <br />of North Carolina, Inc. <br />3. That notice be given by publication as required by <br />N. C. General Statute 160A-272, describing the property to be <br />leased, stating the annual lease payments, and announcing the <br />Board's intention to authorize the lease at its next regular <br />meeting on April 2, 1979. <br />Commissioner Nielsen seconded the motion and upon a roll call <br />vote, Commissioners Nielsen, Rhyne and Harmon voted for it and Commissioners <br />Funderburke and Wicker voted against it. The Chair declared the resolution <br />adopted by a majority vote. <br />
