BOOK tae 399 WHEREAS, the Board of Commissioners has leased said premises for a nominal rent to Lee County Hospital, Incorporated, for the operation of a hospital by an instrument dated September 7, 1977; and WHEREAS, the Lee County Hospital, Incorporated, and American Medical International, Inc. , have negotiated a proposed agreement for the purchase of Lee County Hos- pital, Incorporated property and for the operation of a hospital on the present site while American Medical Inter- national, Inc. , is building a new facility; and WHEREAS, the Board of Commissioners and- American Medical International, Inc. , have negotiated for a proposed lease of the demised premises to American Medical International of North Carolina, Inc. , during the period of construction and contingent upon termination of the existing lease with Lee County Hospital, Incorporated, which said Lee County Hospital, Incorporated, has indicated its desire to terminate; and WHEREAS, the American Medical International of North Carolina, Inc. , proposest o lease the premises for a term of three years, to begin when the contractual and reg- ulatory conditions of the agreement between the parties have been met, which must occur on or before January 1, 1981, and to provide for extensions up to two years on a month to month basis, so that the total period of the lease cannot exceed five years and therefore could not extend beyond December 31, 1985; and WHEREAS, the rental is to be not less than $300, 000 annually and the final rental determination shall include suff- icient funds to satisfy the remaining financial liability of the County under the Hill-Burton Program; and WHEREAS, the premises have been used as a hospital for many years and will not be needed by the County for other purposes during the term of the proposed lease; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS FOR LEE COUNTY, AS FOLLOWS: 1. The offer of the Lee County Hospital, Incorporated to terminate its lease effective upon the date that the lease with American Medical International of North Carolina, Inc. , begins is accepted and the Chairman and Clerk are authorized to execute and deliver instrument to this effect for and on behalf of the County. 2. It hereby determines that the property described in Exhibit A attached hereto will not be needed by the County for the term of the proposed lease with American Medical International of North Carolina, Inc. 3. That notice be given by publication as required by N. C. General Statute 160A-272, describing the property to be leased, stating the annual lease payments, and announcing the Board's intention to authorize the lease at its next regular meeting on April 2, 1979. Commissioner Nielsen seconded the motion and upon a roll call vote, Commissioners Nielsen, Rhyne and Harmon voted for it and Commissioners Funderburke and Wicker voted against it. The Chair declared the resolution adopted by a majority vote.
