This Lease shall be interpreted and enforced according to <br />the laws of the State of North Carolina. <br />14. Entire Agreement. This Lease constitutes the final and complete expression <br />of the parties' agreements with respect to the Premises and Lessor's occupancy thereof. <br />Each party agrees that it has not relied upon or regarded as binding any prior agreements, <br />negotiations, representations, or understandings, whether oral or written, except as <br />expressly set forth herein. Both parties have participated in the preparation of this Lease <br />and in resolving any ambiguities there shall be no presumption that they are construed <br />against the drafting party. <br />15. No Oral Amendment or Modifications. No amendment or modification of <br />this Lease, and no approvals, consents or waivers by Lessor under this Lease shall be valid <br />or binding unless in writing and executed by the party to be bound. <br />16. Relationship of Lessor and Lessee. Nothing contained herein shall be <br />deemed or construed as creating the relationship of principal and agent or of partnership, or <br />of joint venture by the parties hereof, it being understood and agreed that no provision <br />contained in this Lease nor any acts of the parties hereto shall be deemed to create any <br />relationship other than the relationship of Lessor and Lessee. <br />17. Authority of Lessee. Each individual executing this Lease on behalf of <br />Lessee represents and warrants that such individual is duly authorized to deliver this Lease <br />on behalf of Lessee and that this Lease is binding upon Lessee in accordance with its terms, <br />and agrees to document such authorization to Lessor's satisfaction if requested to do so. <br />18. Authority of Lessor.
