.0 a <br />n 01 v P CE;$ Exhibit C <br />LEASE AGREEMENT <br />THIS LEASE, made this day of , 20by and <br />between LEE COUNTY, a North Carolina body politic, (hereinafter "Lessor") and <br />SANDHILLS CENTER FOR MENTAL HEALTH, DEVELOPMENTAL <br />DISABILITIES AND SUBSTANCE ABUSE SERVICES, an agency, institution, and <br />political subdivision of the State of North Carolina, (hereinafter "Lessee"); <br />WITNESSETH: <br />WHEREAS, Lessee is a multi-county area mental health, developmental <br />disabilities, and substance abuse program which desires to serve the Lee County area; and <br />WHEREAS, Lessor is the owner of a parcel of land and improvements thereon, <br />including a facility and one (1) house, located at 130 Carbonton Road, Sanford, Lee <br />County, North Carolina, 27330 (hereinafter the "Premises"), and <br />WHEREAS, Lessee wishes to lease the Premises for use as a mental health, <br />developmental disabilities, and substance abuse facility; and <br />WHEREAS, Lessor desires to lease the Premises to Lessee, and Lessee is willing <br />to lease the Premises on the terms and conditions set forth herein, all of which are <br />acceptable to Lessor. <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein, <br />the receipt and sufficiency of which are hereby acknowledged, Lessor leases to Lessee, <br />and Lessee takes and hires from Lessor, the Premises, and upon the following terms and <br />conditions of this Lease: <br />1. Term and Rental. The term of this lease shall be a year-to-year term, <br />beginning on the I" day of July, 2005, and shall automatically renew each year for an <br />indefinite period, subject to Lessee's privilege to cancel this lease due to the existence of <br />any of the conditions as specified in Paragraph 2 below, at the rate of One Dollar ($1.00) <br />per year until the termination of this Lease Agreement. <br />2. Cancellation Privilege. This Lease Agreement may be canceled at the <br />option of the Lessee upon the occurrence of any of the following conditions: <br />(a) If the Premises are found to be in violation of any federal, state, or <br />local law, regulation, or ordinance, thereby substantially limiting Lessee's use of the <br />Premises, including the Americans with Disabilities Act, Occupational Safety and Health <br />Act, and other laws, regulations or ordinances pertaining to handicap access, health, and <br />safety and, afler notice of violation from the Lessee, Lessor fails to make necessary <br />
