BOOK 22 Pact 998 <br />preceding calendar year, toward the cost of such equipment. These payments <br />are non-refundable, even upon termination of this agreement. <br />The City does not depreciate equipment that is leased. For any equipment that <br />is installment financed, the annual debt installment would not be charged to <br />the County. <br />In the event a party to this agreement should require the installation of <br />equipment or the performance of' special services dedicated to the sole and <br />special use of such party, to the exclusion of the other parties hereto, such <br />party shall bear the entire cost of such equipment, its installation, <br />maintenance, operation and repair. Such funds shall be non-refundable even <br />on termination of such party and/or removal of such equipment or the <br />termination of such special services. <br />4. Tenn. This agreement shall remain in effect until such time as the governing <br />body of both entities agree to terminate this agreement-Notice o intent to <br />terminate shall be served on the manager of the other entity in writing at least <br />12 months prior to the effective date of termination. <br />5. Budget The City Manager and the County Manager shall meet annually to <br />discuss the budget. <br />6. Modification. The City and County agree that this contract can only be <br />modified by signed writing executed by both parties. An agreement <br />modifying this contract needs no further consideration to be binding. <br />7. Independent contractors. The City and County shall remain independent <br />contractors with respect to all services performed under this agreement. <br />Nothing is intended or should be construed as creating or establishing a <br />partnership between the City and County or as constituting either party as the <br />agent, representative, or employee of the other for any purpose or in any <br />manner whatsoever. Each party shall select the means, method, and manner <br />of performing their respective duties under this agreement- <br />8. Provision of Service. The City will provide service to the County at the same <br />level to which it provides service to itsel f. <br />9. Hold Harmless. The County shall protect, defend, indemnify and save the <br />City, its officers, employees and agents harmless from any and ail costs, <br />claims, judgments, or awards of damages, arising out of or in any way <br />resulting from the negligent acts or omissions of the County, its officers, <br />employees or agents. <br />The City shall protect, defend, indemnify and save the County, its officers, <br />employees and agents harmless from any and all costs, claims, judgments, or <br />
