SCOPE OF SERVICES: The scope of services to be provided by the Contractor are as set forth in "Attachment A" to this agreement and by this attachment and reference is made a part hereof. 6. FUNDING: All terms and conditions of this agreement are dependent upon and subjective to the allocation of funds for the purpose herein set forth and the agreement shall automatically terminate if funds cease to be available. 8. TAXES: Contractor shall be considered an independent contractor and as such shall be responsible for all taxes due to his services. Contractor agrees to provide the County with the Contractor's correct taxpayer identification number upon the execution of this agreement. The Contractor agrees that failure to provide the County with a correct taxpayer identification number authorizes the County to withhold twenty percent (20%) of any amount due and payable under this agreement pursuant to the provisions of the Internal Revenue Code Title 26, United States Code. 9. WARRENTY: As an independent Contractor, the Contractor will hold the County harmless of any liability and personal injury that may occur from or in connection with the performance of this agreement, and as such, shall continue in effect workmen's compensation and general liability insurance at appropriate amounts during the term of the performance. 10. TERMINATION OF AGREEMENT: This contract may be terminated by either party upon thirty (30) days prior written notice. 11. CONFIDENTIALITY: Contractor agrees not to release any information concerning the County or its operation provided to him without the express written approval of the County, that all such information shall remain confidential and all reports or other documents prepared pursuant to this agreement shall become the property of the County and not released by the Contractor without written approval of the County.
