Such insurance shall not be cancelable except upon thirty (30) days' prior written notice to County. Provider shall provide County with a certificate evidencing such insurance coverage together with a provision that such coverage may not be cancelled without at least thirty (30) days prior written notice to County. Provider shall inform County of any material changes in the status of its insurance coverage C Patient Rights. All patients transported by Provider as part of the Service shall be transported to the nearest hospital for triage. g. Advisory Council. Provider will form an advisory council to provide feedback and suggestions on operation of the Service. The Advisory Council will include representatives from the Hospital, the Hospital Medical Staff, County Management, and the Board. The Advisory Council shall function until such time as a Quality Management Committee has been constituted pursuant to the temporary rules adopted by the North Carolina Medical Commission. h. Emergency Management Provider will aid and assist Lee County Emergency Management on a reasonable basis, subject to the availability of Provider's resources. i. Termination. Upon termination by Provider, County will have the right to purchase any capital assets utilized and owned solely by Provider in connection with the conduct of the services provided pursuant to this Agreement (including, but not limited to equipment and vehicles) "as is", at its then market value as determined by an appraisal to be conducted by a qualified independent appraiser reasonably acceptable to the County and Provider- 'fire cost of such appraisal will be borne equally by County and Provider- j. Provider shall assist County in the preparation of an application to establish an emergency medical services system for review by the Office of Emergency Services as required by the temporary rules adopted by the North Carolina Medical Commission. 5. COUNTY IZESPONS113ILITILS a. Services Fee. County shall pay Provider for provision of the Services. The amounts are described in Exhibit A attached hereto and incorporated herein by this reference (the "Services Fee"). The Services Fee shall be payable monthly on the ism day of each month during the Term commencing as of October 15, 2007. Upon reasonable written request of the Provider, submitted to the Board together with reasonable supporting 4
