BOOK 21 PAGE 801 <br />EMERGENCY MEDICAL SERVICES AGREEMENT <br />This EMERGENCY MEDICAL SERVICES AGREEMENT ("Agreement") is made as <br />of this J()S day of zr 2007 by and between AMISUB OF NORTH <br />CAROLINA, INC. DBIA CENTRAL CAROLINA HOSPITAL ("Provider") and the COUNTY <br />OF LEE, one of the counties of the State of North Carolina, and a body both politic and <br />corporate under the laws ofthe State ofNorth Carolina ("County"). <br />RECITALS: <br />A. Provider operates a general acute care hospital known as Central Carolina Hospital <br />(the "Hospital") located in Sanford, Lee County, North Carolina (`State"); and employs <br />and contracts with qualified providers to manage or provide medical services for <br />residents of County. <br />B. County desires to contract with Provider for the provision of the County's <br />emergency and non-emergency medical services and Provider desires to provide such <br />emergency and non-emergency medical services on behalf of County. <br />NOW, THEREFORE, in consideration of the premises and mutual covenants herein set <br />forth in this Agreement, the parties agree as follows: <br />1. EXCLUSIVE ENGAGEMENT <br />County has adopted an ordinance, which grants to Provider an exclusive franchise to provide <br />emergency ambulance service and non-emergency ambulance service, and Provider hereby <br />accepts these franchise grants and agrees to provide emergency and non-emergency medical <br />services (the "Service") on an exclusive basis for the County's residents, in accordance with the <br />terms of this Agreement. County shall not contract with any other person or entity for the <br />provision of these medical services during the term of this Agreement. <br />2. TERM AND TERMINATION <br />a. Term. Unless earlier terminated as provided hereinbelow, the temr of this <br />Agreement (`Tenn") shall be for a period of seven (7) years, commencing <br />October 1, 2007 (the "Commencement Date"). <br />b. Termination for Breach A non-breaching party may immediately <br />terminate this Agreement upon written notice to the other in the event of a <br />material breach of any provision of this Agreement by the other party <br />which continues for thirty (30) days after receipt of the breaching party of <br />written notice thereof from the non-breaching party. <br />C. Termination on General Assignment for the Benefit of Creditors County <br />may terminate this Agreement on one (1) day's prior written notice to <br />
