McInnis, Register of Deeds EMERGENCY MEDICAL SERVICES AGREEMENT TIIIS ANIENDtMENT TO EMERGENCY MEDICAL SERVICES AGREEMENT (the "Amendment") is made and entered into as of the later of February 1, 2007, or the execution of the Amendment by both parties, by and between AMISUB OF NORTH CAROLINA, INC., aNorth Carolina corporation, doing business as CENTRAL CAROLINA HOSPITAL. ("Provider") and COUNTY OF LEE ("County"). WITNESSETH WHEREAS, Provider and County entered into that certain Emergency Medical Services Agreement effective May 20, 2002, a c opy o f w hich i s a ttached h ereto a s A ttachment A a nd incorporated herein by this reference (the "Agreement"); and WIIEREAS, the parties desire to modify certain terms of the Agreement for the mutual benefit of the parties. NOW, TII EREFORE, for and in consideration of the mutual promises and covenants set forth herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Provider and County agree as follows: 1. Compliance Obligations. County has received, read, understood, and shall abide by Tenet's Standards of Conduct. The parties to this agreement shall comply with Tenet's Compliance Program and Tenet's policies and procedures related to the Anti-Kickback Statute and the Stark Law. A summary of Tenet's Compliance Program and a link to Tenet's policies and procedures shall be provided to County upon request. Further, the parties to this Agreement certify that they shall not violate the Anti-Kickback Statute and/or the Stark Law. 2. Except as herein provided, the Agreement and all of the terms and conditions contained therein, are hereby ratified and reaffirmed by the parties. 3. This Amendment represents the complete agreement between the parties regarding the subject matter hereof, and no other changes or modifications of the Agreement are intended nor shall any such other changes or modifications exist. In the event of a conflict between the terms of the Agreement and this Amendment, the terms of this Amendment shall control to the extent applicable. AMISUB OF NORTH CAROLINA, INC.
