The Company shall not directly or indirectly engage in the <br />sale, service, repair, rental, or leasing of television receivers, radio <br />receivers, or television or radio receiver-related parts and accessories <br />or have a financial interest in any company engaged in such business or <br />activity; and the Company's officers, employees, and agents, while acting <br />in the course and scope of their employment or in the furtherance of the <br />Company's business, shall not recommend to the Company's customers or persons <br />being solicited as customers the purchase, service, or repair of television <br />or radio receivers or related parts and accessories from specific persons, <br />firms, or corporations engaged in such retail businesses.. <br />SECTION 10. The Company shall maintain a business office or a toll-free <br />telephone listing in the County for the purpose of receiving inquiries and <br />complaints from its customers. The Company shall investigate all complaints <br />within five (5) days of their receipt and shall in good faith attempt to re- <br />solve them swiftly and equitably. The County Manager shall be responsible <br />for receiving and acting upon any unresolved subscriber complaints. <br />o SECTION 11. In consideration of the terms of this franchise, the <br />Company agrees to pay to the County a sum of money equal to three percent <br />(3%) of the Company's gross subscriber revenues per year derived from <br />installation of equipment and regular subscriber services in the County. Gross <br />subscriber revenues shall include any and all compensation or receipts derived <br />from installation, disconnection and re-installation charges and recurring <br />monthly service charges levied upon subscribers for receipt of broadcast <br />signals and Federal Communications Commission mandated nonbroadcast services, <br />but shall not include any refunds or credits made to subscribers or any taxes <br />imposed on the services furnished by the Company. Nor shall it include revenue <br />from ",auxiliary" services which may include, but are not limited to, advertising, <br />leased channels, etc, <br />SECTION 12. The Company shall use its best efforts to provide on its <br />cable television system, to the extent that it is economically feasible, locally <br />originated programming of special interest to the residents of the County. <br />SECTION 13. All of the rights and privileges and all of the obligations, <br />duties and liabilities created by this franchise shall pass to and be binding <br />® upon the successors of the County and the successor and assigns of the Company, <br />and the same shall not be assigned or transferred without the written approval <br />of the County Board of Commissioners, which approval shall not be unreasonably <br />withheld; provided, however, that this section shall not prevent the assigrrient <br />
