liability or accountability by reason of the execution of this Agreement or any <br /> other documents related to the transactions contemplated hereby. Such officers, <br /> agents, or employees shall be deemed to execute such documents in their official <br /> capacities only and not in their individual capacities. This section shall not <br /> relieve any such officer, agent, or employee from the performance of any official <br /> duty provided by law. In no event will either party be liable to the other party <br /> for any consequential, incidental, indirect, special or punitive damages, losses <br /> or expenses (including but not limited to those for business interruption, lost <br /> business, lost profits, or lost savings), even if that party has been advised of <br /> their possible existence. The remedies of the parties hereto are as specifically <br /> set forth herein and are the sole and exclusive remedies of the parties <br /> notwithstanding any other remedy at law or in equity. <br /> k. Pursuant to North Carolina General Statute § 143-133.3, E-verify <br /> Compliance, the County may not enter into a contract unless the contractor, and <br /> the contractor's subcontractors under the contract, comply with the requirements <br /> of Article 2 of Chapter 64 of the General Statutes. The Contractor represents and <br /> warrants that it is in compliance with the requirements of Article 2 of Chapter 64 <br /> of the General Statutes. Further, the Provider warrants that any subcontractors <br /> used by the Provider will be in compliance with the requirements of Article 2 of <br /> Chapter 64 of the General Statutes. <br /> m. Iran Divestment Certification. The Provider certifies that: (i)the Provider is not <br /> listed on the Final Divestment List created by the State Treasurer pursuant to <br /> N.C.G.S. § 147-86.58 (the"Final Divestment List"). The Final Divestment List <br /> can be found on the State Treasurer's website at the address <br /> https://www.nctreasurer.com/office-state-treasurer/divestment-and-do-not- <br /> contract-rules. Any contract in violation of this Act is void. <br /> n. This Provider certifies that the Provider is not identified as an entity by the North <br /> Carolina Secretary of State that is engaged in a boycott of the State of Israel <br /> pursuant to N.C.G.S., Article 6G, Chapter 147. The Final Divestment List can be <br /> found on the State Treasurer's website at https://www.nctreasurer.com/office- <br /> state-treasurer/divestment-and-do-not-contract-rules. Any contract in violation of <br /> this Act is void. <br /> IN WITNESS WHEREOF, COUNTY has caused this instrument to be signed in its <br /> corporate named by its duly authorized officers and its seal to be hereunto affixed, and the <br /> COMPANY has caused this instrument to be executed in its company name by its duly <br /> authorized manager,both the day and year first above written. <br />
