licensees, imposts, liens or other charges arising out of or in connection with the performance of any act <br /> required of or permitted by Lessees hereunder and shall keep the Premises free and clear of any and all <br /> such liens or charges unless such liens or charges are being contested in accordance with applicable law. <br /> 13. PROPERTY OF LESSEE. All property placed on the Premises by,at the direction of,or <br /> with the consent of the Lessee, its employees, agents, licensees or invitees, shall be at the risk of the <br /> Lessee or the owner thereof and Lessor shall not be liable for any loss of or damage to said property <br /> resulting from any cause whatsoever unless such loss or damage is the result of Lessor's proven <br /> negligence or willful misconduct. <br /> 14. PARKING. N/A. [NOTE — TENANT WILL NEED PARKING RIGHTS. ONCE <br /> DESCRIPTION OF PREMISES IS FINAL MARELLI WILL DETERMINE IF ANY SPECIFIC <br /> PROVISION NEEDED HERE]. <br /> 15. MAINTENANCE. At the commencement of the Lease, Lessee agrees to accept the <br /> Premises AS IS. Lessee shall be responsible for maintaining (to the current conditions as of the <br /> commencement date of this Lease, reasonable wear and tear and casualty and condemnation excepted) <br /> the roof, outer walls, HVAC, plumbing and electrical systems of the building located on the Leased <br /> Premises. Lessee shall be responsible for all other maintenance expenses to the Premises. If Lessee <br /> refuses or neglects to commence repairs or maintenance required as set out herein promptly and <br /> adequately, Lessor may, but shall not be required to do so, make or complete said repairs or <br /> maintenance and Lessee shall pay the reasonable documented costs thereof to Lessor within sixty (60) <br /> days of such demand and invoice, said documented reasonable costs to constitute additional rent <br /> hereunder. However, in no instance will Lessee be required to pay any maintenance or repair cost that <br /> exceeds the net book value of any property. Further, no repairs which are the responsibility of Lessee <br /> shall be commenced by'Lessor without first notifying Lessee in writing and the expiration of ten (10) <br /> days from receipt of such notice by Lessee. <br /> 16. INDEMNIFICATION OF LESSOR; Except as it relates to claims related to the acts of <br /> omissions of Lessor,Lessee agrees to indemnify and defend Lessor and to save harmless Lessor,and the <br /> Lessees, licensees, invitees, agents, servants and employees of Lessor against and from any and all <br /> claims by or on behalf of any person, firm or corporation arising by reason of injury to person or <br /> property occurring on the Premises occasioned in whole or in part by any act or omission on the part of <br /> Lessee or any employee,agent, assignee or sublessee of Lessee,or by reason of any unlawful use of the <br /> Premises or by reason of any breach,violation or non-performance of any covenant in this Lease on the <br /> part of Lessee to be observed or performed,and also by reason of any matter or thing growing out of the <br /> occupancy or use of the Premises by Lessee or any one holding under Lessee. Lessor agrees to <br /> indemnify and hold Lessee.and to save harmless Lessee against and from any and all.claims by or on <br /> behalf of any person, firm or corporation arising by reason of injury to person or property occasioned in <br /> PPAB 6118535v <br />
