<br /> CONTRACT FOR PURCHASE AND SALE OF REAL PROPERTY
<br /> THIS CONTRACT FOR PURCHASE AND SALE OF REAL PROPERTY ("Contract")
<br /> is made and entered into this 31st day of March, 2021 ("Effective Date"), by and between
<br /> MARELLI NORTH CAROLINA USA LLC, a Delaware limited liability company
<br /> (previously known as Magneti Marelli Powertrain USA LLC), 2101 Nash Street, Sanford, NC
<br /> 27330,referred to herein as("Seller"),and FORGE INVESTMENT GROUP LLC,a North Carolina
<br /> limited liability company, 7858 Clinard Farms Road, High Point, NC 27265 and assigns
<br /> ("Purchaser").
<br /> WITNES SETH :
<br /> For and in consideration of the mutual promises herein contained,Ten Dollars($10.00)in
<br /> hand paid by Purchaser to Seller and other good and valuable consideration flowing between the
<br /> parties, the receipt, adequacy and sufficiency of which are hereby acknowledged,Purchaser and
<br /> Seller do hereby agree as follows:
<br /> 1. Contract to Sell and Purchase. Purchaser agrees to purchase from Seller,and Seller
<br /> agrees to sell to Purchaser,upon the terms and conditions hereinafter set forth,all of those tracts or
<br /> parcels of land described as follows containing approximately:
<br /> (a)26.37 acres lying and being at 2101 Nash Street,Sanford,Lee County,North Carolina,
<br /> and being more particularly identified by the Lee County Tax Assessor's Office as PIN#9652-74-
<br /> 4328-00 as shown Exhibit A attached hereto and made a part hereof, together with all timber,
<br /> buildings,improvements and fixtures located thereon and all easements,rights,and appurtenances
<br /> appertaining thereto;and
<br /> (b) 13.61 acres lying and being at 0 Nash Street,Sanford,Lee County,North Carolina,and
<br /> being more particularly identified by the Lee County Tax Assessor's Office as PIN#9652-84-7415-
<br /> 00 as shown on Exhibit B attached hereto and made a part hereof, together with all timber, •
<br /> buildings,improvements and fixtures located thereon and all easements,rights,and appurtenances
<br /> appertaining thereto;and
<br /> (c)40.40 acres lying and being at 0 Nash Street,Sanford,Lee County,North Carolina,and
<br /> being more particularly identified by the Lee County Tax Assessor's Office as PIN#9652-94-1896-
<br /> 00 as shown on Exhibit C attached hereto and made a part hereof, together with all timber,
<br /> buildings,improvements and fixtures located thereon and all easements,rights,and appurtenances
<br /> appertaining thereto;and
<br /> (d)4.75 acres lying and being at 901 Broadway Road,Sanford,Lee County,North Carolina,
<br /> and being more particularly identified by the Lee County Tax Assessor's Office as PIN#9652-83-
<br /> 7516-00 as shown on Exhibit D attached hereto and made a part hereof,together with all timber,
<br /> buildings,improvements and fixtures located thereon and all easements,rights,and appurtenances
<br /> appertaining thereto;and
<br /> (e)4.93 acres lying and being at 0 Broadway Road,Sanford,Lee County,North Carolina,
<br /> and being more particularly identified by the Lee County Tax Assessor's Office as PIN#9652-83-
<br /> 9623-00 as shown on Exhibit E attached hereto and made a part hereof, together with all timber,
<br /> buildings,improvements and fixtures located thereon and all easements,rights,and appurtenances
<br /> appertaining thereto and(collectively, "Property").
<br /> Notwithstanding the foregoing,the property set forth on Schedule 1 will not be conveyed to
<br /> Purchaser and will be removed from the Property at Closing or at the termination of the Post-Closing
<br /> Lease(as defined in Section 4).
<br /> 2. Purchase Price. The Purchase Price for the Property shall be Eight Million One
<br /> Hundred Thousand and No/100 Dollars($8,100,000.00)
