Page 1 of 1 SECOND AMENDMENT TO MASTER SERVICES AGREEMENT This SECOND AMENDMENT is effective as of the last date it is signed by the parties and amends, supplements and clarifies the Master Services Agreement December 17, 2018 ("Agreement") , by and between Lee County, North Carolina("Customer)and Kimble's Food by Design Inc. ("Kimble's"). WHEREAS, Customer desires and Kimble's agrees to continue services as related to the commissary process and related equipment and solutions. NOW, THEREFORE, as of the Second Amendment Effective Date and in consideration of the mutual promises and covenants contained herein,the parties agree as follows: TERM: All prior references to 'Term' in subsequent documents related to this Master Services Agreement shall be superseded by the following: The "Term" of this Agreement shall commence upon the signing of this Second Amendment and will continue for twelve(12)months thereafter. The Agreement may be renewed for additional one (1) year terms by mutual written consent of the parties. Notwithstanding anything to the contrary, the terms and conditions of the Agreement shall continue to apply after the twelve (12) month expiration until a new agreement is agreed upon or the Client gives at least ninety(90)days written notice of intent not to renew the Agreement. Notwithstanding anything to the contrary,the terms and conditions of this Agreement shall continue to apply to each Schedule for so long as we continue to provide the Application to you after the expiration or earlier termination of this Agreement. All terms and conditions of the Agreement not amended by this Second Amendment remain in full force and effect.
