suspended in whole or in part by the County, and Contractor may be declared ineligible for <br /> further County agreements/contracts. <br /> ARTICLE 16 <br /> Compliance with Law <br /> Contractor warrants that it will comply with all federal, state and local laws, ordinances, rules <br /> and regulations applicable to its performance under this Agreement, including, without <br /> limitation, the Fair Labor Standards Act of 1938, as amended, the Equal Employment <br /> Opportunity Clause prescribed by Executive Order 11246 dated September 24, 1965 as amended, <br /> and any rules, regulations or orders issued or promulgated under such Act and Order. Contractor <br /> shall indemnify and save and hold County from and against any and all claims, damages, <br /> demands, costs and losses which the County may suffer in the event that vendor fails to comply <br /> with said Act, Order, rules, regulations or orders. Contractor further warrants that all goods and <br /> services sold hereunder will comply with and conform in every respect to the standard applicable <br /> to the use of such goods and services under the Williams-Steiger Occupational Safety and Health <br /> Act of 1970, as amended, and any regulation to be included in a contract of the type evidenced <br /> by this document shall be deemed to be incorporated herein. <br /> ARTICLE 17 <br /> Governing Body <br /> This Agreement shall be governed by and in accordance with the laws of the State of North <br /> Carolina. All actions relating in any way to this Agreement shall be brought in the General <br /> Court of Justice of the State of North Carolina or in the Federal District Court for the Middle <br /> District of North Carolina. <br /> ARTICLE 18 <br /> Completeness of Agreement <br /> This Agreement and any documents incorporated by reference herein contain all the terms and <br /> conditions agreed by the County and the Contractor, and no other agreements, oral or otherwise <br /> regarding the subject matter of this Agreement or any part thereof shall have any validity or bind <br /> any of the parties hereto unless executed by both parties. <br /> ARTICLE 19 <br /> Right to Require Performance <br /> The failure of the County at any time to require performance by Contractor of any provisions <br /> hereof, shall in no way affect the right of the County thereafter to enforce same.
