caused, resulting from, arising out of or in any way connected with a willful or negligent act or omission of the Contractor, its officers, agents, and servants in its or their performance under this Agreement or the non-performance of the terms or the Contractor's obligations under this Agreement; provided, however, that the Contractor will not be liable for any Losses to the extent caused, resulting from or arising out of or in any way connected with a willful or negligent act or omission of the County, its elected and appointed officers, agents, servants and employees. The Contractor shall be fully responsible to the County for the acts and omissions of its sub- contractors and of persons either directly or indirectly employed by it, as the Contractor is for the acts and omissions of persons directly employed by it. ARTICLE 11 Damage Claims The Contractor shall be responsible for any damage to real or personal property to the extent caused by the Contractor's employees, agents or servants in performing the Services under this Agreement. The Contractor shall notify the Point of Contact for the County, or his/her authorized representative, of any damage claims as soon as practicable. The Contractor shall provide the Point of Contact for the County or his/her authorized representative with a full written explanation of the resolution of the damage claim. ARTICLE 12 Insurance The Contractor shall at all times during the Term maintain in full force and effect Worker's Compensation, Employer's Liability, Automobile Liability, General Liability and Pollution Legal Liability coverage written by insurance companies licensed to do business in the State of North Carolina. The Contractor agrees to furnish the County with Certificates of Insurance or other evidence reasonably satisfactory to the County to evidence that such insurance has been procured and is in force. Such certificates will contain a provision that the policies will not be cancelled without providing the County with thirty(30) days written notice. Insurance coverages will be in at least the following amounts: • Worker's Compensation - Statutory; • Employer's Liability - $1,000,000 per occurrence; • General Liability(bodily injury and property damage) - $1,000,000 per occurrence, $2,000,000 annual aggregate combined single limit; • Automobile Liability - $5,000,000 per occurrence combine single limit; • Contractor Pollution Legal Liability - $5,000,000 per occurrence, $10,000,000 aggregate; Page 4 of 9
