caused, resulting from, arising out of or in any way connected with a willful or negligent act or <br /> omission of the Contractor, its officers, agents, and servants in its or their performance under this <br /> Agreement or the non-performance of the terms or the Contractor's obligations under this <br /> Agreement; provided, however, that the Contractor will not be liable for any Losses to the extent <br /> caused, resulting from or arising out of or in any way connected with a willful or negligent act or <br /> omission of the County, its elected and appointed officers, agents, servants and employees. <br /> The Contractor shall be fully responsible to the County for the acts and omissions of its sub- <br /> contractors and of persons either directly or indirectly employed by it, as the Contractor is for the <br /> acts and omissions of persons directly employed by it. <br /> ARTICLE 11 <br /> Damage Claims <br /> The Contractor shall be responsible for any damage to real or personal property to the extent <br /> caused by the Contractor's employees, agents or servants in performing the Services under this <br /> Agreement. <br /> The Contractor shall notify the Point of Contact for the County, or his/her authorized <br /> representative, of any damage claims as soon as practicable. The Contractor shall provide the <br /> Point of Contact for the County or his/her authorized representative with a full written <br /> explanation of the resolution of the damage claim. <br /> ARTICLE 12 <br /> Insurance <br /> The Contractor shall at all times during the Term maintain in full force and effect Worker's <br /> Compensation, Employer's Liability, Automobile Liability, General Liability and Pollution <br /> Legal Liability coverage written by insurance companies licensed to do business in the State of <br /> North Carolina. The Contractor agrees to furnish the County with Certificates of Insurance or <br /> other evidence reasonably satisfactory to the County to evidence that such insurance has been <br /> procured and is in force. Such certificates will contain a provision that the policies will not be <br /> cancelled without providing the County with thirty(30) days written notice. Insurance coverages <br /> will be in at least the following amounts: <br /> • Worker's Compensation - Statutory; <br /> • Employer's Liability - $1,000,000 per occurrence; <br /> • General Liability(bodily injury and property damage) - $1,000,000 per occurrence, <br /> $2,000,000 annual aggregate combined single limit; <br /> • Automobile Liability - $5,000,000 per occurrence combine single limit; <br /> • Contractor Pollution Legal Liability - $5,000,000 per occurrence, $10,000,000 <br /> aggregate; <br /> Page 4 of 9 <br />
