Memorandum of Understanding Between <br />The County of Lee and <br />MAM Elk M Z Mea <br />This Memorandum of Understanding entered into on this LTV\ day of August, 2020 between <br />the County of Lee (hereinafter referred to as the "County") and MINA `Wde/&__VVL SLee6n}c) <br />(hereinafter referred to as the "Agency"). Both parties agree and understand that this <br />memorandum of understanding sets out the respective responsibilities regarding purchasing <br />fuel from the County's fuel tank supply located at 805 S. Fifth Street, Sanford NC 27330. This <br />Memorandum of Understanding will be valid for one year. If both parties wish to continue to <br />allow the Agency to purchase fuel, they will need to execute a new Memorandum of <br />Understanding. <br />In exchange for allowing the Agency to purchase fuel from the County, the parties agree to the <br />following: <br />The Agency agrees to the following: <br />1. The Agency will notify the County the week prior to needing to purchase the fuel. <br />2. The Agency will pay the invoice for the fuel purchase within 30 days from the date of <br />the invoice. <br />3. The Agency must receive authorization to purchase fuel by the General Services Director <br />or their designee prior to each use of the fuel pump. If there are any reason for an <br />increase in usage beyond previously provided estimates or monthly averages, the <br />General Services Director must be notified of the anticipated amount of fuel to be <br />purchased and the reason for the increase. <br />4. The Agency must be located in Lee County and provide services to Lee County citizens in <br />order to be eligible for purchasing fuel from the County. <br />5. The Agency will only purchase and use fuel for activities related to non-profit services it <br />provides to Lee County citizens and only for those purposes. <br />6. The Agency understands that at any time, the County may refuse to allow the Agency to <br />purchase fuel for any reason. <br />7. The Agency understands that the County always has priority in utilizing the fuel, <br />especially in emergency situations, and can refuse the Agency the right to purchase the <br />fuel for any reason including but not limited to shortages in fuel supply, delays in fuel <br />delivery, and preparation or response due to an emergency event. <br />8. The Agency agrees, to the fullest extent permitted by law, to indemnify and hold <br />harmless the County, its officers, directors and employees (collectively the County) <br />against all damages, liabilities, or costs, including reasonable attorneys' fees and <br />defense costs, to the extent caused by Agency's negligence. <br />
