Waiver. The failure of either Party to insist upon or enforce strict performance by the other Party of any provision of the Agreement or to exercise any right under the Agreement will not be construed as a waiver or relinquishment to any extent of such Party's right to assert or rely upon any such provision or right in that or any other instance; rather the same will be and remain in full force and effect. Survival. Any obligations which expressly or by their nature are to continue after termination, cancellation, or expiration of the Agreement shall survive and remain in effect after such happening. Remedies. Except as otherwise specified, the rights and remedies granted to a Party under the Agreement are cumulative and in addition to, not in lieu of, any other rights and remedies which the Party may possess at law or in equity. Notices. All notices, requests, demands, claims, and other communications hereunder shall be in writing and shall be delivered by certified or registered mail (first class postage, prepaid), or email with read -receipt confirmation. Notices, requests, demands, and other communications may not be sent via instant messaging, text messaging, or other electronic communications. Amendment. No change, amendment, or modification of any provision of the Agreement will be valid unless set forth in a written instrument signed by both Parties. Headings. The captions and headings used in this Agreement are inserted for convenience only and will not affect the meaning or interpretation of the Agreement. Counterparts. The Agreement may be executed in counterparts, each of which will be deemed an original and all of which together will constitute one and the same document. An electronically scanned and transmitted copy (via e-mail or other similar transmission method) shall be sufficient if the signatures of the signing parties are clearly visible. Entire Agreement. This Agreement contains the entire agreement of the parties with respect to the subject matter hereof and it may not be changed orally but only by a written agreement signed by all of the parties hereto. E -Verify Certification. Contractor, SBrand Consulting, LLC, hereby certifies that the Contractor is exempt from the requirements of Article 2 of Chapter 64 of the North Carolina General Statutes, due to employing less than 25 employees and certifying that Contractor does not have a registered office in the State of North Carolina. Iran Divestment Act Certification. Contractor certifies that Contractor, SBrand Consulting, LLC, and all subcontractors are not on the Iran Final Divestment List ("List") created by the North Carolina State treasurer pursuant to N.C.G.S. 147-86.58. Contractor shall not utilize any subcontractor that is identified on the list.
