2. The Town agrees to keep records of all disaster debris removal expenses and activities and to provide those to the County as necessary for the County to be reimbursed by FEMA or the State of North Carolina. 3. The County agrees to file any necessary paperwork with FEMA and/or the State of North Carolina to be reimbursed for eligible activities. 4. The County agrees to pay the Contractor for work conducted under their "Pre -Event Contract for Disaster Debris Management Services" within the Town limits. 5. The County delegates to the Town of Broadway all authority to direct the execution of the scope of services of the contract for disaster debris management services within the Town boundaries. 6. The Town agrees to bear any portion of the costs associated with the work performed within the Town limits, which is not eligible for reimbursement by FEMA, or the State of North Carolina, and agrees that the County shall bear no responsibility for any cost, damage or liability arising from the services performed under the "Pre -Event Contract for Disaster Debris Management Services" which occurs within the Town limits. 7. The term of this Interlocal Agreement shall be the same as that under the "Pre -Event Contract for Disaster Debris Management Services" including any extensions, change orders or modifications to the term of that agreement unless sooner changed hereunder. 8. The Town or the County may terminate this Interlocal Agreement at any time for any reason by notifying the Manager of the other entity in writing. 9. The County shall ensure that the Contractor shall identify vehicles removing debris within the Town limits as "Town of Broadway" vehicles. 10. The County shall ensure that Contractor supply a separate point person for contact by the Town for work performed within the Town limits. 11. The County agrees that the temporary disaster staging sites identified for use by their Contractor shall also be used for debris removed from the Town limits at no charge. IN WITNESS WHEREOF, and as the duly authorized act of the governing bodies, the parties hereto have caused this instrument to be signed in their respective names by their proper officials and to be attested by their respective Clerks the day and year first above written.
