REAL_ESTATE PURCHASE AND SALE AGREEMENT <br />THIS REAL ESTATE PURC SALE AGREEMENT (this "Agreement") is made and entered <br />into effective as of the day of 2019 (the "Effective Date"), by and between JIIVIIVIY LEE <br />POINDEXTER and wife CAROL P. POINDEXTER (collectively, the "Seller") and the COUNTY OF LEE, <br />one of the counties of the State of North Carolina and a body both politic and corporate, (the "Buyer"). <br />WITNESSETH: <br />WHEREAS, Buyer desires to purchase a sixty foot (60') strip of land containing approximately 1.38 <br />acres, plus or minus, from Seller located along the southern boundary of Seller's land identified as 1905 Colon <br />Road (and having PIN # 9655-30-3668-00 as assigned by the Lee County Tax Office) extending from Colon Road <br />to an approximate ninety eight (98) acre tract which Buyer is contracted to purchase from Richard and Angela <br />Hearn, said tract of land (the "Land"), and as more particularly described on Exhibit A attached hereto and <br />incorporated herein by reference, together with: <br />All easements and other rights appurtenant to the Land (collectively, the "Appurtenances") <br />including but not limited to the Easement to said Land recorded in Deed Book 1345, Page 659, Lee <br />County Registry; and <br />All improvements located on the Land, including but not limited to all paved parking areas, <br />entrance roads, utility facilities, drainage facilities, landscaping, signs, lighting equipment and other site <br />improvements located (or to be constructed) on the Land (collectively, the "Improvements"). <br />The Land, the Appurtenances and the Improvements are collectively referred to in this Agreement <br />as the "Real Property." <br />WHEREAS, Seller inherited the Property from Bitha Poindexter by and through her Last Will and <br />Testament located in estate file 98E160; and <br />Whereas the Property being sold herein is a portion of that tract referred to as the 28 acre tract in the Will <br />of Bitha Poindexter, and <br />Whereas, the Will requires Seller to hold the property in trust until such time as Stephen Poindexter has <br />reached the age of 22 and Sarah Elizabeth Poindexter has reached the age of 18; and <br />Whereas Stephen Poindexter was born on July 5, 1980 and is currently forty (40) years old; and <br />Whereas Sarah Elizabeth Poindexter was born on April 7, 1984 and is currently thirty six (36) years old; <br />and <br />; and <br />WHEREAS, Seller shall be separately compensated $1,000.00 for the value of the timber on the property <br />by SAGA and furthermore Buyer's Attorney is currently in possession of said funds and is able to release said <br />nonrefundable funds to Seller upon Closing on the property; and <br />WHEREAS, Should Buyer not ultimately develop, sale or transfer the land to a third party within two <br />years (24 months) from the date of Closing, Buyer shall provide Seller a Right of First Refusal to buy said <br />
