time of initial assignment to tasks where occupational exposure may occur, Client <br />will provide Assigned Employee with training in compliance with OSHA <br />Standard 29 C.F.R.e.1910. Client agrees to provide post exposure evaluation and <br />follow-up pursuant to OSHA Standard 29 C.F.R.e.1910, if an exposure incident <br />occurs to any Assigned Employee and to provide copies of all records of post- <br />exposure care to Agency. Client agrees to orient Assigned Employee to Client's <br />policies, procedures, operations and OSHA/Infection Control procedures, and <br />inform the Agency of training dates and any changes in the Client's policies and <br />procedures; <br />h. Designate a representative to report to Agency all time worked by each Assigned <br />Employee on a mutually agreed schedule; <br />i. Be responsible for compliance with all relevant safety and health laws and <br />regulations during the period of the Assigned Employee's assignment under <br />Client's supervision, including but not limited to JCAHO regulations relating to <br />orientation and evaluation and HIPAA regulations. <br />Payment Terms, Bill Rates, and Fees <br />3. Client will pay Agency for its performance as set forth on Exhibit B and will also pay any <br />additional costs or fees set forth in this Agreement. Agency will invoice Client for <br />services provided under this Agreement on a semi-monthly basis. Payment is due on <br />receipt of invoice. Invoices will be supported by the pertinent time sheets or other agreed <br />system for documenting time worked by the Assigned Employees. Information appearing <br />on the invoice shall be deemed accurate and affirmed by Client, however Client retains <br />the right to contest any invoice if it notifies the Agency in writing within five business <br />days of date of discovery and the writing will specify the particular error(s), omission(s), <br />or objection(s). Agency may impose a finance charge of one and one-half (1 ''/2) percent <br />per month to all outstanding amounts unpaid by for thirty (30) days or more after date of <br />the invoice. If a portion of any invoice is disputed, Client will pay the undisputed portion. <br />4. In addition to the rates specified in Exhibit B of this Agreement, Client will pay Agency <br />the amount of all new or increased labor costs associated with Client's Assigned <br />Employees that Agency is legally required to pay -such as wages, benefits, payroll taxes, <br />social program contributions, or charges linked to benefit levels -until the parties agree on <br />new rates. <br />Confidential Information <br />5. Both parties may receive information that is proprietary to or confidential to the other <br />party or its affiliated companies and their clients. Both parties agree to hold such <br />information in strict confidence and not to disclose such information to third parties or to <br />use such information for any purpose whatsoever other than performing under this <br />Agreement or as required by law. No knowledge, possession, or use of Client's <br />confidential information will be imputed to Agency as a result of Assigned Employees' <br />access to such information. <br />
