anot V F-r,r= 743 <br />ARTICLE II <br />Representations <br />Section 2.1 Representations by County. The County makes the <br />following representations as the basis for the undertakings on its <br />part herein contained: <br />(a) The County is a body both politic and corporate of the <br />State of North Carolina. The County has the power and authority <br />to enter into this agreement and also the power and authority to <br />perform its obligations under this agreement. <br />(b) Neither the execution or delivery of this agreement nor <br />the performance of the obligations under or the consummation of <br />the transactions contemplated by this agreement violates or will <br />violate any law or governmental order, conflicts or will conflict <br />with any material term or provision of any agreement or instrument <br />to which the County is a party or by which it is bound, or <br />constitutes or will constitute a material breach of or a default <br />under any such agreement or instrument. <br />Section 2.2 Representations by the Society. The Society <br />makes the following representations as the basis for the <br />undertakings on its part herein contained: <br />(a) The corporation is a non-profit corporation duly <br />incorporated existing and in good standing under the laws of the <br />State of North Carolina, and is duly qualified to do business in <br />the State. The Society has power and authority to enter into this <br />agreement, to perform its oblitgations under and consummate the <br />transaction contemplated by this agreement, and has by proper <br />corporate action duly authorized the execution and delivery of <br />this agreement. <br />(b) Neither the execution or delivery of this agreement nor <br />the performance of the obligations under or the consummation of <br />the transactions contemplated by this agreement violates or will <br />violate any law or governmental order, conflicts or will conflict <br />with any material term or provision of the certificate of <br />incorporation or bylaws of the Society or any material term of any <br />agreement or instrument to which the Society is a party by which <br />it is bound, or constitutes or will constitute a material breach <br />of or a default under any such agreement or instrument. <br />ARTICLE III <br />Operation <br />Section 3.1 Shelter. Society has constructed, operates and <br />maintains within Lee County, an animal shelter which complies with <br />all applicable statutes, building codes and regulations, including <br />but not limited to Chapter 19A of the General Statutes of North <br />Carolina. <br />
