The Board next considered a Resolution to transfer Insight's Lee County Franchise to Cencom Cable Television. Mr. William Tolliver, General Manager of Insight and Mr. David McCall, Regional Operations Manager of Cencom were present and answered questions from the Board. Mr. McCall explained that the transfer from one company to another is pretty well invisible to the cable subscriber. You are simply transferring the exact same documents presently in place from one name to another. Commissioner Cox asked if the transfer would affect the rate structure. Mr. McCall advised that basically the rate base depends on how many programs are increased and how much service cost go up for the operation of business. They have no immediate plans to raise rates. Commissioner Matthews moved the adoption of the following Resolution: WHEREAS, on August 17, 1981 the Board of Commissioners of the County of Lee, North Carolina, granted a certain franchise to Cass Community Antenna TV, Inc., pursuant to an ordinance of the Board of Commissioners of the County of Lee in the State of North Carolina (the "Franchise"); WHEREAS, the Franchise has heretofore effectively been assigned to INSIGHT COMMUNICATIONS COMPANY, L.P. ("Insight"); and WHEREAS, Insight has informed the Board bf Commissioners of the County of Lee that it has entered into an Asset Purchase and Sale Agreement (the "Agreement") dated as of March 21, 1990, pursuant to which it has agreed to transfer all of its rights in and to the Franchise to Cencom Partners, L.P., a Delaware limited partnership, or an affiliate thereof ("Cencom"); and WHEREAS, in accordance with the provisions of the Franchise, Insight has requested the Board of Commissioners of the County of Lee to consider its proposed transfer and to adopt a resolution authorizing the transfer of all of the rights of Insight in and to the Franchise from Insight to Cencom; and WHEREAS, the Franchise remains in full force and effect. NOW, THEREFORE, BE IT RESOLVED, that the transfer of the rights of Insight in and to the Franchise to Cencom is hereby authorized and approved.
