050 <br />If any term, clause or provision of this Agreement or the application thereof to any <br />J <br />person or circumstances shall, to any extent, be illegal, invalid or unenforceable under <br />present or future laws effective during the term hereof, then it is the intention of the <br />parties hereto that the remainder of this Agreement, or the application of such term, <br />clause or provision to persons or circumstances other than those to which it is held <br />illegal, invalid or unenforceable, shall not be affected thereby, and it is also the intention <br />of the parties hereto that in lieu of each term, clause or provision that is illegal, invalid <br />or unenforceable, there be added by a Court of competent jurisdiction or otherwise as a <br />part of this Agreement a term, clause or provision as similar in terms to such illegal, <br />invalid or unenforceable term, clause or provision as may be possible to effect the <br />expressed intent of the parties and be legal, valid and enforceable. <br />This Agreement shall be governed by and construed in accordance with the laws <br />of the State of North Carolina, provided, however, it is expressly understood that the <br />landfill must operate in accordance with the taws of the State of South Carolina and <br />certain aspects of Contractor's performance hereunder is therefore governed by the <br />laws of the State of South Carolina_ <br />0 <br />• <br />7 <br />
