State of North Carolina ) AGREEMENT County of Lee ) THIS AGREEMENT is between the COUNTY OF LEE, one of the counties of the State of North Carolina and a body both politic and corporate, hereinafter referred to as "COUNTY", and FLEMING TRANSPORTATION, INC. dba AMERICAN YELLOW CAB AND SERVICE CAB, hereinafter referred to as the "CONTRACTOR". WITNESSETH WHEREAS, Lee County Department of Senior Services operates the County of Lee Transit System, hereinafter referred to as "COLTS", as a plan for Lee County transportation services; and WHEREAS, this agreement is to benefit Lee County citizens for their transit needs; and WHEREAS, Contractor in consideration of the mutual benefits to be ® derived here from has agreed to provide service to a segment of Lee County's client population through the COLTS program under the following terms and conditions: 1. CONTRACTURAL STATUS: The County and Contractor agree that the Contractor shall perform the services required of the Contractor herein set forth, provided the Contractor is not and will not by virtue of this contract acquire the status of an employee of the County. 2. TIME OF PERFORMANCE: The effective date of this agreement is the 1st day of October 2007 and the termination is the 30TH day of June, 2008. 3. COMPENSATION: The County agrees that it will pay the Contractor total and complete compensation for the services rendered by the Contractor as provided in Paragraph 5 of this agreement in an amount that shall not exceed $ Via. ~1 4. INVOICE: Payment under this agreement will be made upon receipt of an original invoice from the Contractor setting forth the amount due and payable pursuant to Paragraph 3 of this agreement. All services must be performed to the satisfaction of the County prior to a final payment being made.
