The Contractor shall procure the prior written approval of the SDA to <br />initiate any action Involving acquisition by purchase, lease or trade, <br />transfer, relocation, changed use of disposition of nonexpendable <br />property. The contractor shall not be entitled to recover the costa of <br />the acquisition or transfer if such approval is not obtained. <br />3.7.4. The Contractor shall not acquire real property with funds under this <br />Contract. This prohibition applies to personal property that becomes <br />real property by virtue of its becoming affixed to real property unless <br />a recorded agreement is reached with the owner of the real property <br />disavowing any interest in the fixture. <br />3.7.5. If the Contractor anticipates the development of intangible property, <br />such as works on which a copyright or patent is obtainable, the <br />Contractor shall notify the SDA and execute a special amendment to this <br />Contract acknowledging that the State, through the SDA, has ownership <br />of all such works. `The Contractor acknowledges that as torany works <br />produced for hire, the State, through the SDA, is the entity that has <br />commissioned and paid for the works. <br />3.7.6. The Contractor expressly assigns to the State, through the SDA, any <br />right it may acquire by operation of law or otherwise in any property <br />under this Contract. <br />3.7.7. On completion of the services under this Contract or upon earlier <br />termination of this Contract, all nonexpendable property and all <br />expendable property covered by federal regulations shall be situated, <br />transferred or disposed of according to instructions by the SDA. <br />3.8. Personnel; Equal Emplovment Opportunity. <br />3.8.1. The Contractor assures the SDA that its personnel policy will apply to <br />all persons employed or funded in whole or in part under this Contract, <br />and that merit-based personnel policies are followed. <br />3.8.2. The Contractor agrees that it will not discriminate on any basis <br />prescribed in the Act or prohibited under State law. The Contractor <br />shall designate a person other than its chief executive as its equal <br />employment opportunity officer, who shall be responsible for the <br />Contractor's nondiscrimination policy and for developing a procedure <br />for investigation of hearings on equal employment opportunity <br />grievances. <br />3.9. Monitoring, Oversight, and Investigations. <br />3.9.1. The SDA has a right to monitor program, fiscal, personnel, and <br />management activities under this Contract to assure that performance <br />goals are being met, that appropriate administrative procedures, <br />controls and records are maintained, that Contract terms and conditions <br />are being fulfilled and that personnel and equal employment opportunity <br />requirements are being met. The Contractor shall permit and require <br />its subcontractors to permit on-site visits by the SDA, State, the <br />United States Department of Labor, and the Comptroller General of the <br />United states, private questioning of employees and participanta, and <br />access for interview and copying to Contractor and subcontractor <br />records, including, but not limited to, pertinent on-site records of <br />_5_ <br />
