0 ~00~ 11 621 <br />provided however, the City will bill and the County will pay for <br />a minimum of $7,000 per month for labor regardless of whether or <br />not the County actually uses such services. <br />(h) City will bill and County will pay monthly, in addition <br />to the above labor costs, all costs or costs incurred for parts, <br />fuel, oil, tires and outside contracted services used in the <br />maintenance of County vehicles. <br />(i) City will bill and County will pay for its portion of the <br />cost incurred for an annual auction of vehicles and equipment, as <br />set forth in the Garage Maintenance Rate Schedule (Exhibit C), if <br />County participates in annual auction. <br />(j) City agrees to furnish, at its expense, any stock items <br />which are not presently in stock which may be required to properly <br />maintain County vehicles. At the termination of the contract, the <br />County will purchase any remaining on-hand items at fair market <br />value. <br />(k) County agrees that the City has authority to purchase <br />parts, fuels, oils, tires, and outside contracted services for the <br />maintenance of City and County vehicles and equipment, without <br />interference by the County in a manner and system outlined in the <br />City's purchasing procedures and subject to the State and Federal <br />laws. <br />(1) City agrees to maintain an up-to-date file on all costs <br />and charges incurred in the maintenance of County vehicles, which <br />will be made available to the County. <br />"13 <br />(m) County agrees to expand their insurance umbrella to cover <br />the city's garage personnel while transporting and testing County -`vehicles. <br />(n) City shall be liable for actual work performed and shall <br />not be liable for failure to perform work not listed on the work <br />order. <br />10. Violations of the terms of this agreement by either party <br />will give rise to the right to terminate by the other party upon <br />giving written notice of termination, the agreement will terminate <br />ninety (90) days after the date of receipt of such notice. <br />11. At the end of the contract period, or if the contract is <br />terminated as a result of breaching of any terms of this agreement <br />by either party, or if a decision is made by both parties to <br />terminate the contract, the County may remove, at its expense and <br />without charge to the City for depreciation and normal wear and <br />tear, those items which were furnished by the County to the City <br />pursuant to this agreement. After the removal of the items owned <br />by the County from the City's property, the County shall restore, <br />at its expense, the City's property to the original precontract <br />condition. If agreed by both parties, the City may purchase those <br />items at an agreed upon price based on the condition of the items <br />at contract termination. <br />12. Unless sooner terminated, as herein provided, this <br />agreement shall continue in full force and effect from the date of <br />this contract for one (1) year, at which time, the County will be <br />under no obligation to have its vehicles serviced by the City and <br />the City will be under no obligation to service County vehicles. <br />13. City and County's obligations hereunder shall be subject <br />to such restrictions, limitations, and prohibitions as may be <br />applicable as a result of contracts and agreements with all lawful <br />rules and regulations promulgated by, any State or Federal <br />Department or agency having jurisdiction over the City or County <br />and their operation of their respective fleets. <br />14. City and County will share proportionally, based on <br />billed hours, any annual operating losses including annual <br />
