055 <br />including discovery assessments and tax billings applicable to discovered personal property <br />having a tax sites within the City. <br />3. In consideration of the County's cost for TMA's audit services the City <br />agrees to reimburse the County a prorated percentage of TMA's audit fees which shall be <br />an amount equal to the City's percentage of taxes, penalties, and interest assessed and <br />collected compared to the total of both County and City taxes, penalties and interest <br />assessed and collected resulting from audits performed by TMA <br />4. Upon receipt of TMA's monthly invoices.for, audit services the County <br />shall issue a bill to.the City for its applicable portion of the audit fees. Such invoices shall <br />include, but not be limited to the following: <br />a) Total cumulative County and City taxes, penalties and interest assessed and <br />collected as a result of audits performed. <br />b) Cumulative amount applicable to the City and its calculated percentage of total <br />cumulative County and City taxes, penalties and interest assessed and <br />collected. <br />c) Cumulative TMA fees applicable to audits performed and generating taxes, <br />penalties, and interest for both the County and City. <br />• d) The City's cumulative prorated portion of applicable TMA audit fees. <br />e) Total amounts of prior payments of City's prorated portion of TMA audit fees <br />received by the County. <br />f) Total net balance of prorated TMA audit fees due to be paid by City in <br />accordance with this agreement. <br />5. The City agrees to pay the County for its prorated portion of TMA audit <br />fees within thirty (30) days from the date of the County's billing to the City. <br />6. This agreement contains the entire contract between the Parties and may <br />not be modified except by written agreement between the Parties. Such modification shall <br />then become an addendum and attached hereto and made a part of this agreement. <br />u <br />
