Inspection Systel shall have the right to inspect the equipment and install any <br />software or hardware updates from the manufacturer at a time mutually convenient <br />for both parties. <br />X. Supplies Systel agrees to furnish all supplies for the equipment provided under this <br />Agreement at no additional expense to Lee County, except for paper and staples. <br />These supplies include toner, developer, and any chemical supplies required for <br />operation of the equipment. <br />XI. Default Any of the following events shall constitute an event of default: <br />a. Lee County fails to pay Systel within thirty (30) days after written notice of any <br />late payment for services provided under the terns of this Agreement; <br />b. Lee County or Systel fails to fully perform and comply with each and every <br />condition and covenant of this Agreement including Exhibits, and such failure of <br />performance continues for a period of thirty (30) days after written notice thereof, <br />c, Systel fails to repair and maintain the equipment or famish supplies in a timely <br />manner in accordance with this Agreement, including the full replacement of the <br />equipment within thirty (30) days after written notice by Lee County. <br />Upon the occurrence of any Event of Default as set forth above by Systel, Lee County <br />upon providing Systel written notice and a period to cure of at least thirty (30) days <br />may declare this Agreement cancelled or annulled, in whole or in part. In such event <br />Systel shall remove the equipment within thirty (30) days. <br />XII. Contract Termination Lee County reserves the right to cancel the Agreement at any <br />time Systel's performance is, in the opinion of the Lee County, deemed - <br />unsatisfactory. In such event, however, Lee County shall give written notice of the <br />unsatisfactory performance and expected remedies for same. Systel shall be given at <br />least thirty (30) days termination notice if conditions do not meet Lee County's <br />approval. <br />Lee County shall be obligated for those services rendered and accepted prior to the <br />date of Notice of Termination. <br />XIII. Indemnification Systel agrees to indemnify, defend and hold harmless Lee County, <br />its officers, agents, employees, and contractors from any liability, cost or expense in <br />connection with or growing out of any claims whatsoever by 3rd parties for injury, <br />death, loss or damage to any person or to the property of any person arising from or in <br />any way related to the activities of Systel in connection with this Agreement. This <br />indemnity and hold harmless agreement shall include indemnity against all costs, <br />expenses, judgments, arbitrations, settlements, penalties, and liabilities (including <br />without limitation attorney's fees) incurred in connection with any claim or <br />proceedings brought thereon and the defense thereof, without limitation. <br />Page 4 of 7 <br />
