State of North Carolina q <br />County of Lee 000 2`3 qq FAU 147 <br />Multi - Functional Copier and Printer Agreement <br />This Agreement made and entered into this — day of May, 2011, by and between Systel <br />Business Equipment Co., Inc., ( "Systel'), a North Carolina Corporation located at 2604 Fort <br />Bragg Road Fayetteville, NC 28303, and the County of Lee ( "Lee County "), a North Carolina <br />County Government operating under the laws of North Carolina, located at 106 Hillerest Drive <br />Sanford, NC 27331; <br />WITNESSETH: <br />I. Intent. Whereas both Systel and Lee County are entering into this Agreement for <br />Systel to be the sole provider of multi - functional digital copying equipment and <br />printer equipment ( "the equipment ") inclusive of supplies, repair parts and service <br />(except paper and staples) to Lee County. This equipment and services shall be <br />provided in accordance with the terms and conditions set out herein and in the <br />"Request for Proposals: Comprehensive Multi- Functional Copier/Printing Cost -Per- <br />Copy Program for Lee County (4210 -11)" attached hereto as Exhibit A and <br />incorporated herein by reference. In the unlikely event that the terns and conditions <br />in the Request for Proposals differ from what is set out herein, the terms and <br />conditions in the Request for Proposals take precedence. Systel will provide the <br />equipment described in Exhibit B, attached hereto and incorporated by reference, and <br />other similar equipment as may be required by Lee County during the term of this <br />Agreement. Systel and Lee County will keep a continuous tabulation of actual <br />placements under this Agreement and that tabulation shall be considered Exhibit B <br />for purposes of this Agreement. <br />II. Services Included. For the consideration described below, Systel shall for the term <br />of this Agreement provide, place, and network the equipment and any accessories <br />required by Lee County, train end users at each Lee County location including <br />additional training on an as needed basis, frilly service the equipment placed, provide <br />all supplies including toner and replacement parts, and remove the equipment at the <br />end of the contract. Lee County may move the equipment at its own cost to meet <br />urgent needs or in connection with routine housekeeping activities, except that the <br />County may not move equipment from one building to another. Systel shall timely <br />move any equipment at any time for no additional charge upon verbal request by the <br />County and such move will be accomplished within the time allowed for maintenance <br />calls. <br />III. Term. The term of this Agreement shall be for a period not to exceed 60 months, <br />renewable annually based on satisfactory performance of the contract tenns, which <br />Page 1 of 7 <br />
