RICHARDSON SMITH GARDNER & ASSOCIATES, INC. ® MASTER SERVICES AGREEMENT This Master Services Agreement ("Agreement") is made this 30'" day of July , 2007 by and between Lee County. North Carolina ("Client") and Richardson Smith Gardner & Associates, Inc. ("RSG"). Scope of Services and Project Description RSG agrees to furnish the Services set forth in RSG's Proposal(s) dated July 30, 2007 attached hereto and/or subsequently referenced to this Agreement. The Scope of Services for the Project(s) are set forth within each Proposal or Work Order and generally relate to the following: Solid Waste Consulting Services The Project Site(s) is/are located and described as follows: Estimated Schedule of Services This Agreement and executed Proposal(s) and Work Order(s) referenced thereto, shall be valid for a period of I year(s), and/or until the completion of Services according to the Schedule(s) of Work established within this term, which may be extended indefinitely for a period of time that both parties agree to. Basis of Compensation For the Services performed under this Agreement, Client shall pay RSG compensation on the basis indicated below at the rates in the attached Schedule of Charges, Exhibit A . The payment terms, unless explicitly stated otherwise within a Work Order, shall be N accordance with the payment terms set forth herein: X Time and Materials _ Cost Plus Fixed Fee Lump Sum Extent of Agreement This Agreement, including the general conditions, exhibits, Work Order(s), and any other documents, duly incorporated and enumerated below, and subsequently executed Work Orders specifically referenced to this Agreement, constitutes the entire understanding between Client and RSG. Any modifications to this Agreement shall be in writing and signed by authorized representatives of the parties. Any Work Order implemented under this Agreement shall be in writing and signed by authorized representatives of the Client and RSG. Additional Work Orders may be performed under this agreement by both parties implementing a Supplemental Agreement. (list here all other contract documents to be part of the Agreement as appropriate; e.g., remedial action plan; administrative%onsent order; any specifications; etc.)
