<br />Termination of Documents by
<br />Mutual Consent and Release
<br />THIS AGREEMENT, made and entered into this day of
<br />February, 1993, by and between the COUNTY OF LEE, a body both politic
<br />and corporate under the laws of the State of North Carolina, whose
<br />mailing address is P.O. Box 1968, Sanford, North Carolina,
<br />27331-1968, party of the first part, and FLOYD BROWNE ASSOCIATES, an
<br />Ohio general partnership with its principal office in Marion, Ohio,
<br />whose mailing address is P.O. Box 587, Marion, Ohio, 43301-0587,
<br />party of the second part;
<br />WITNESSETH:
<br />WHEREAS, the party of the first part is the owner of a 10.066
<br />acre site in West Sanford Township, Lee County, near the Village of
<br />Cumnock, and more particular described in a deed recorded in Book
<br />427, Page 314, Lee County Registry;
<br />WHEREAS, the party of the first part entered into contractural
<br />and leasehold agreements for the funding, designing, building, and
<br />operation of a water treatment facility on the 10.066 acre site
<br />hereinbefore referred to with Floyd Browne Associates, Inc. (now
<br />known as BMA Technologies, Inc.), BMA Technologies, Inc., and Floyd
<br />Browne Associates (party of the second part); and
<br />WHEREAS, most, if not all, of said documents which were executed
<br />by entities other than the party of the second part have been
<br />assigned to said party of the second part; and
<br />WHEREAS, the party of the first part has bargained to purchase
<br />said water treatment facility and its appurtenances; and
<br />WHEREAS, the parties hereto mutually desire, as a part of said
<br />sale, to terminate and cancel said agreements;
<br />NOW, THEREFORE, each of said parties in consideration of the
<br />sale and purchase of the water treatment facility and appurtenances
<br />and the agreement herein made by the other party, does hereby agree
<br />that each of the agreements listed on Exhibit A attached hereto and
<br />by this reference made a part hereof, be and the same is by mutual
<br />consent cancelled and terminated as of the day of February,
