Box 1968 <br />Sanford, N.C. <br />27331-1968 <br />STATE OF NORTH CAROLINA ) <br />BILL OF SALE <br />COUNTY OF LEE ) <br />THIS BILL OF SALE, made this day of February, 1993, by <br />FLOYD BROWNE ASSOCIATES, an Ohio general partnership with its <br />principal office in Marion, Ohio, and whose mailing address is P.O. <br />Box 587, Marion, Ohio, 43301-0587 (hereinafter "Seller") and the <br />COUNTY OF LEE, a body politic and corporate of the State of North <br />Carolina, whose mailing address is P.O. Box 1968, Sanford, North <br />Carolina, 27331-1968 (hereinafter "Buyer"); <br />WITNESSETH: <br />That the Seller, for and in consideration of the sum of Ten <br />Dollars and other valuable consideration, to it and hand paid, the <br />receipt of which is hereby acknowledged, has bargained and sold and <br />by these presents does bargain, sell, and convey unto the Buyer, its <br />successors and assigns certain articles of personal property, more <br />particularly described as follows: <br />All of those certain articles of personal property <br />described in Exhibit A attached hereto and by this <br />reference made a part hereof. <br />TO HAVE AND TO HOLD said personal property to buyer and its <br />successors and assigns in fee simple. <br />And the Seller covenants that it is seized of said property in <br />fee and has the right to convey the same in fee simple; that the same <br />is free and clear of all encumbrances whatsoever except for ad <br />valorem taxes for 1993; and that it will warrant and defend the title <br />thereto against the lawful claims of all persons whomsoever. <br />Except with respect to matters relating to title, Buyer <br />acknowledges having made a complete examination of the property <br />involved, and in purchasing same, is relying solely upon such <br />examination with reference to the condition, and character of said <br />property save and except as may be set forth in a separate written <br />agreement between the parties. The Buyer accepts such property "as <br />is" and "where is", in the condition and at the location that it <br />D 1 <br />
