Commissioner <br />following resolution: <br />021 <br />the adoption of the <br />WHEREAS, the County has purchased the water treatment plant near <br />Cumnock from Floyd Browne Associates; and <br />WHEREAS, as a part of said purchase, Floyd Browne Associates <br />assigned to the County its agreement with Golden Poultry Company, <br />Inc., to discharge waste water from the water treatment plant to <br />Golden Poultry Company's waste water treatment plant, and also <br />assigned to the County its license from Norfolk Southern Railway <br />Company to maintain and operate two pipelines across the railway <br />right-of-way and tracks for the transmission of water; and <br />WHEREAS, both agreements require the consent of the other party <br />to such an assignment by Floyd Browne Associates; and <br />WHEREAS, Golden Poultry Company, Inc., has agreed to such <br />assignment and requires the County to acknowledge such assignment and <br />to assume the obligations of its agreement with Floyd Browne <br />Associates; and <br />WHEREAS, Norfolk Southern,Railway Company has agreed to issue a <br />license directly to Lee County; and <br />WHEREAS, there have been submitted to this meeting forms of the <br />®following documents: <br />1. Agreement dated as of February 8, 1989, between Golden <br />Poultry Company, Inc., and Floyd Browne Associates, Inc., <br />2. Letter (the "Waste Water Letter Agreement") dated March 5, <br />1993, from Golden Poultry Company, Inc., to BMA <br />Technologies, Inc., successor and interest of Floyd Browne <br />Associates, <br />3. Agreement (the "License") between Norfolk Southern Railway <br />Company and Lee County, and <br />WHEREAS, the Board deems it in the best interest of the County <br />to authorize the execution of the requested documents; NOW, <br />THEREFORE, <br />BE IT RESOLVED by the Board of Commissioners as follows: <br />Section 1. The Waste Water Letter Agreement, in the form <br />submitted to this meeting, is hereby approved and the chairman or <br />Vice-Chairman is hereby authorized to execute and deliver the Waste <br />Water Letter Agreement substantially in such form with such necessary <br />and appropriate variations, omissions, and insertions as may be <br />approved by the Chairman or Vice-Chairman. <br />aoo~ 15 FnrF <br />Matthews moved <br />Section 2.
