' 11 <br />soon 15 P~,sr 346 <br />ARTICLE II <br />Representations <br />Section 2.1 Representations by County. The County <br />makes the following representations as the basis for the <br />undertakings on its part herein contained: <br />(a) The county is a body both politic and corporate ofthe <br />State of North Carolina. The County has the power <br />and authority to perform its obligations under this <br />agreement. <br />(b) Neither the execution or delivery of this agreement <br />nor the performance of the obligations under or the <br />consummation of the transactions contemplated by this <br />agreement violates or will violate any law or <br />governmental order, conflicts or will conflict with <br />any material term or provision of any agreement or <br />instrument to which the County is a party or by which <br />it is bound, or constitutes or will constitute a <br />material breach of or a default under any such <br />agreement or instrument. <br />Section 2.2 Representations by the Society. The <br />Society makes the following representations as the basis for the <br />undertakings on its part herein contained: <br />(a) The corporation is a non-profit corporation duly <br />incorporated existing and in good standing under the <br />laws of the State of North Carolina, and is duly <br />qualified to do business in the State. The Society <br />has power and authority to enter into this agreement, <br />to perform its obligations under and consummate the <br />transaction contemplated by this agreement, and has <br />by proper corporate action duly authorized the <br />execution and delivery of this agreement. <br />(b) Neither the execution or delivery of this agreement <br />nor the performance of the obligations under or the <br />consummation of the transactions contemplated by this <br />agreement violates or will violate any law or <br />governmental order, conflicts or will conflict with <br />any material term or provision of the certificate of <br />incorporation or bylaws of the Society or any <br />material term of any agreement or instrument to which <br />the Society is a party by which it is bound, or <br />constitutes or will constitute a material breach of <br />or a default under any such agreement or instrument. <br />
