this Agreement shall prevent, limit, or otherwise interfere with <br />the right of the Board of commissioners to terminate the services <br />of Manager at anytime, subject only to the provisions set forth in <br />Section 3 of this Agreement. <br />(B) Nothing in this Agreement shall prevent, limit, or <br />otherwise interfere with the right of the Manager to resign at <br />anytime from his position with the County, subject only to the <br />provisions set forth in Section 3 of this Agreement. <br />Section 3. Termination and Severance Pay <br />(A) in the event the Manager is terminated or discharged by <br />the County at such time as Manager is willing and able to perform <br />his duties under this Agreement, then, and in that event, the <br />County shall continue to pay the Manager his then existing salary, <br />together with all other benefits on the regular payroll schedule of <br />the Manager, until the expiration of six (6) months from the date <br />of termination. <br />Notwithstanding the above, in the event the Manager is <br />terminated because of his indictment for or conviction of (i) any <br />illegal act involving personal gain to him, (ii) a felony, or (iii) <br />a misdemeanor that involves moral turpitude, then, and in that <br />event,. the County shall have no obligation to pay the severance <br />sums designated in this paragraph. <br />(B) In the event the County, at any time. during the <br />employment term, reduces the salary or other financial benefits of <br />Manager in a greater percentage than an applicable across-the-board <br />reduction of all county employees, then, and in that event, Manager <br />may, at his option, be deemed to be "terminated" at the date of <br />such action. <br />(C) In the event Manager voluntarily resigns his position <br />with the County, then Manager shall give the County sixty (60) days <br />notice in advance and he will not receive any severance pay. <br />(D) If Manager is permanently disabled or is otherwise unable <br />to perform his duties because of sickness, accident, injury, mental <br />incapacity, or health for a period of four (4) successive weeks <br />beyond any accrued sick leave, or for twenty (20) working days over <br />a thirty (30) working day period, County shall have the option to <br />terminate this Agreement, provided the County shall continue to pay <br />the Manager his then existing salary, together with all other <br />benefits on the regular payroll schedule of the Manager, until the <br />expiration of ninety days (90) from the date of termination or <br />expiration of his accumulated sick leave, whichever is greater. <br />However, Manager shall be compensated for any accrued vacation, <br />holidays, or other accrued benefits. <br />15 <br />2 <br />
