American Medical Response, Inc. shall continuously maintain liability insurance on both its employees and ambulances in at least the amounts it stated in its application, or in such amount as may be required under the laws of the State of North Carolina or its agencies, whichever amount is greater. Section VIII. American Medical Response, Inc. recognizes that the primary ambulance provider in Lee County is the Lee County Department of Emergency Medical Services and agrees that it will operate its non-emergency and convalescent ambulance service in a manner not inconsistent with the rules, regulations and protocols of the Lee County Department of Emergency Medical Services and the directions of the Advances Life Support Medical Director for Lee County. Section IX. American Medical Response, Inc. shall keep and maintain all of the records required of it by the State of North Carolina and by Lee County and will permit representatives of Lee County to inspect its records, premises and equipment at any time in order to assure compliance with the requirements of Lee County. Section X. American Medical Response, Inc. shall be solely responsible for billing and collecting accounts from its clients for its services. American Medical Response, Inc. will seek no subsidies from Lee County nor reimbursement for uncollectible accounts as a consequence of the granting of this franchise. Initially, American Medical Response, Inc. will charge rates for its services no greater than as set forth in its Application for Franchise. American Medical Response, Inc. may, from time to time, increase its rates and charges for its services provided, however, that no increase shall go into effect until American Medical Response, Inc. shall have given a 30 day written notice of said increase and provided further than no more than two such increases be made in any 12 month period. Section XI. Lee County shall have the right to terminate this franchise in the event of a material breach of this franchise by American Medical Response, Inc. and upon the affirmative vote of a majority of the Board of Commissioners. American Medical Response, Inc. shall have the right to terminate this franchise by giving Lee County at least 30 days notice of its intention. Section XII. Application for renewal of this franchise shall be made pursuant to Sections 4 and 5 of the "Ordinance Regulating Ambulance Services in Lee County" heretofore referred to. Section XIII. This franchise and the rights, privileges and authority hereby granted shall take effect and be in force from and after final passage hereof, as provided by law, provided that within 30 days after the date of the final passage of this ordinance American Medical Response, Inc. shall file with the Clerk to the Board of Commissioners 5
