The Company will perform under the grant, collectively with Caterpillar Logistics Services, Inc., the Related Member Party. All references to performance obligations of the - Company" herein. shall include the Related Member Party that will collectively meet the grant obligations, with the Company. Deadline for Return of Executed Documents The Grant shall terminate and be null and void on December IS 2010, if the Company has not delivered back to the DOC, two originals of the Agreement, duly executed by the Company, and attested, as provided in the Agreement. The Grant is also subject to the AnDliCant returning e Agreements to the DOC within 60 days of deliver, to the Annlicant by the DOC. Performance Criteria ® The Company will build and operate a facility as described in the application. The Company will retain existing operations at its facilities in North Carolina, including eight hundred twenty five (825) full -time jobs consisting of (i) at least eighty six (8 6) division headquarters /administrative positions in North Carolina, of the nature of the positions at the Cary facility at the time of - the Application, and (ii) ai least seven hundred thirty nine (739) positions at the Sanford and Clayton facilities, collectively, representing the total number of employces the Company and Related Member Party had at these facilities at the time of the Application; The Company will create and maintain as part of the Project three hundred twenty five (325) permanent full -time newjobs in 'North Carolina between the Effective Date and December 31, 201 d (thc `New Jobs'), with a minimum of two hundred forty four (244) of New Jobs to be created by December 31, 2013(the period from the Effective Date through December 31. 2013, the "Grant Eligibility Period ") - and thvo hundred ninety three (293) of the New Jobs to be created by December 31, ?_014 •
