Bow 23 east 888 <br />these retrofits, alterations or improvements include but are not limited to industrial <br />electrical wiring, switches and outlets, venting, ventilation, some safety features, and <br />interior walls built for privacy. Lessee is authorized to make these changes as <br />already discussed with Lessor. As the space is not occupied, Lessee shall have <br />access to and take possession of the Premises from the date of this Lease's signing <br />in order to make such changes and situate its equipment as necessary. <br />7. Ordinances and Statues Lessee shall comply with all statutes, ordinances, and <br />requirements of all municipal, state, and federal authorities now in force, or which <br />may hereafter be in force, pertaining to the Premises, occasioned by or affecting the <br />use thereof by Lessee. <br />8. Assignment and Subletting Lessee shall not assign this Lease or sublet any portion <br />of the Premises without prior written consent of the Lessor. <br />9. Utilities All applications and connections for necessary utility services on the <br />Premises for Lessee's benefit shall be made in the name of Lessee, as Lessor <br />permits, and Lessee shall be liable for utility charges for Lessee's portion of the <br />facility and use as they become due, including those for gas, electricity, and <br />telephone services. If Lessor cannot meter utilities for Lessor, then Lessee's share <br />of utility cost for the Premises may be pro -rated and apportioned to it on the basis of <br />its square footage of Premises as a ratio of the entire facility square footage or other <br />formula reflecting Lessee's actual use of utilities, especially electricity, as may be <br />agreed on by the parties. <br />10. Entry and Inspection Confidentiality Lessee shall permit Lessor to enter upon the <br />Premises at reasonable times and upon reasonable notice, during business hours, <br />while accompanied by Lessee, for the purpose of inspecting the same, and will <br />permit Lessor, at any time within sixty (60) days prior to the expiration of this lease, <br />to place upon the Premises any usual "To Let" or "For Lease" signs and permit <br />persons desiring to lease the same to inspect the Premises thereafter, all provided <br />however that precautions necessary to protect Lessee's intellectual property and <br />other property as required by Lessee are complied with. <br />Lessor understands that Lessee's business involves confidential information, trade <br />secrets, patentable or patent pending and other intellectual property, the security <br />and confidentiality of which is vital to Lessee's business. As such Lessor will keep <br />information gained or that may be gained in its relation or course of business with <br />Lessee confidential. For example, any grant proposals or press releases to be <br />issued in regard to the incubator program that include specific elements or <br />descriptions of Lessee's work shall be communicated to Lessee for written approval <br />prior to release. Approval will not unreasonably be denied. <br />11. Possession If Lessor is unable to deliver possession of the Premises at the <br />commencement hereof, Lessor shall not be liable for any damage caused thereby, <br />nor shall this lease be void or voidable, but Lessee shall not be liable for any rent <br />until possession is delivered. Lessee may terminate this lease if possession is not <br />delivered within ten (10) days of the commencement of the term hereof. <br />2 <br />
