CHATHAM COUNTY PROPOSAL FOR LEGAL SERVICES <br />IN DEVELOPING OIL AND GAS ORDINANCE <br />This is a proposal by Poyner Spruill LLP for assisting Chatham County and Lee County <br />(the "Counties") in developing and drafting zoning and/or land use ordinances establishing <br />regulatory requirements for oil and gas exploration, development and production activities (the <br />"Ordinances"). <br />General Description of the Ordinances <br />The Ordinances are intended to comply with North Carolina General Statute § 113-415.1 <br />which establishes limitations regarding local ordinances regulating oil and gas exploration, <br />development and production (the "Statute"). The Ordinances may impose requirements, <br />restrictions or conditions generally applicable to development, including but not limited to, <br />setbacks, buffers and stormwater requirements, but are subject to being appealed to the North <br />Carolina Oil and Gas Commission. <br />Procedure <br />This proposal is based on the understanding that the process for developing the Ordinances <br />generally will be as follows: <br />1. Chatham County and Lee County will enter an agreement as they consider <br />necessary regarding the procedure for developing the ordinances. <br />2. The Counties will appoint a technical committee composed of staff from both <br />Counties (the "Technical Committee") to identify the substantive areas where regulation is needed. <br />Poyner Spruill will review the potential areas of regulation identified by the Yuills Report in <br />comparison with State regulations applicable to oil and gas exploration, development and <br />production to determine where local regulation by ordinance may be needed to supplement State <br />regulations and whether such local regulations are permitted under the Statute and or other State <br />statutes. <br />3. Poyner Spruill in conjunction with the Technical Committee will determine the <br />needed regulations and how those regulations would be incorporated in the Counties' zoning and <br />land use ordinances. A report would be developed regarding the Technical Committees' <br />recommendations. <br />4. The Technical Committee's recommendations will be presented to the Counties' <br />Boards of Commissioners at a joint session or separate sessions as the Counties direct. The Boards <br />will determine finally what regulations are needed and direct that appropriate ordinances be <br />drafted. <br />5. Poyner Spruill will draft the Ordinances in consultation with staff from both <br />Counties as necessary. <br />
