CHATHAM COUNTY PROPOSAL FOR LEGAL SERVICES IN DEVELOPING OIL AND GAS ORDINANCE This is a proposal by Poyner Spruill LLP for assisting Chatham County and Lee County (the "Counties") in developing and drafting zoning and/or land use ordinances establishing regulatory requirements for oil and gas exploration, development and production activities (the "Ordinances"). General Description of the Ordinances The Ordinances are intended to comply with North Carolina General Statute § 113-415.1 which establishes limitations regarding local ordinances regulating oil and gas exploration, development and production (the "Statute"). The Ordinances may impose requirements, restrictions or conditions generally applicable to development, including but not limited to, setbacks, buffers and stormwater requirements, but are subject to being appealed to the North Carolina Oil and Gas Commission. Procedure This proposal is based on the understanding that the process for developing the Ordinances generally will be as follows: 1. Chatham County and Lee County will enter an agreement as they consider necessary regarding the procedure for developing the ordinances. 2. The Counties will appoint a technical committee composed of staff from both Counties (the "Technical Committee") to identify the substantive areas where regulation is needed. Poyner Spruill will review the potential areas of regulation identified by the Yuills Report in comparison with State regulations applicable to oil and gas exploration, development and production to determine where local regulation by ordinance may be needed to supplement State regulations and whether such local regulations are permitted under the Statute and or other State statutes. 3. Poyner Spruill in conjunction with the Technical Committee will determine the needed regulations and how those regulations would be incorporated in the Counties' zoning and land use ordinances. A report would be developed regarding the Technical Committees' recommendations. 4. The Technical Committee's recommendations will be presented to the Counties' Boards of Commissioners at a joint session or separate sessions as the Counties direct. The Boards will determine finally what regulations are needed and direct that appropriate ordinances be drafted. 5. Poyner Spruill will draft the Ordinances in consultation with staff from both Counties as necessary.
