0 f;cox 18 s=ic, ;'7 16. GOVERNING LAW This Agreement shall be construed exclusively in accordance with the substantive laws of the State and without regard to State conflicts of law rules. 17. WAIVER Performance of any obligation required of a party hereunder may be waived only by a written waiver signed by the other party, which waiver shall be effective only with respect to the specific obligation therein and not of any other obligation imposed on such party hereunder. 18. ENTIRE AGREEMENT; MODIFICATION County's ordinance for the operation of ambulance services within Lee County, Provider's application for franchises, County's ordinance granting franchises to Provider, and this Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, oral or written, and all communications between the parties relating to such subject matter. This Agreement may not be amended or modified except by mutual written agreement. 19. COUNTERPARTS This Agreement may be executed in any number of counterparts, each of which shall be deemed an original but all of which shall constitute one and the same instrument. 20. BINDING EFFECT This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, representatives, successors, and permitted assigns. 21. TIME IS OF THE ESSENCE Time is of the essence with respect to every provision of this Agreement. 22. CAPTIONS The captions contained herein are used solely for convenience and shall not be deemed to define or limit the provisions of this Agreement. 23. INDEMNIFICATION To the extend permitted by law, each party shall indemnify and hold the other party and its officers, directors, shareholders, employees, agents, and representatives (the "Indemnified Parties'), harmless from any and all liabilities, 10
