C~~K i~ PAGE <br />a. Equipment. Provider shall provide all equipment and supplies <br />necessary for service <br />b. Patient Charges. Provider shall be fully responsible for the <br />financial management of the Service. Provider shall bill, collect, and retain all charges <br />for the Service. Provider shall maintain current emergency medical service rates charged <br />by it for a period of not less than six (6) months pending Provider's evaluation of the <br />reimbursement. No increase shall go into effect until Provider shall have given County <br />and its Advisory Council a thirty (30) day written notice of such increase, and no more <br />than two such increases shall be made in any twelve (12) month period. <br />C. Service Management. <br />(1) Policies and Procedures. Provider shall develop and <br />maintain appropriate policies and procedures (including forms) for operating the Service. <br />(2) Supervision and Documentation. Provider shall supervise <br />Provider employees in the provision of the Service to ensure that medical care is <br />delivered in accordance with the Provider's policies and procedures. Provider shall also <br />insure that services are appropriately and adequately documented. <br />(3) Quality Assurance. Provider shall develop and maintain <br />appropriate policies and procedures for the Service's quality assurance, total quality <br />assessment, and risk management services, which shall be approved by Provider's <br />governing board and which shall be in conformity with Provider's overall Quality <br />Assurance Program, provided such requirements are commercially reasonable and <br />consistent with industry practice. <br />d. Staffing Levels. Provider shall provide staff. Such staff shall be <br />qualified and appropriately licensed, certified, and/or registered to perform all functions <br />assigned to them by Provider. Provider agrees to accept delegation of the power to <br />appoint a Medical Director and one or more Assistant Medical Director's, all of whom <br />will be compensated by Provider for such duties. <br />e. Insurance. Provider shall secure and maintain at all times during <br />the Term, at Provider's sole expense, liability insurance covering Provider and all of <br />Provider's Staff, including professional and general liability insurance coverage, with a <br />reputable and financially viable insurance carrier in the amount of at least $1 million per <br />claim and $3 million aggregate. Such insurance shall not be cancelable except upon <br />thirty (30) days' prior written notice to County. Provider shall provide County with a <br />certificate evidencing such insurance coverage together with a provision that such <br />coverage may not be cancelled without at least thirty (30) days prior written notice to <br />County. Provider shall inform County of any material changes in the status of its <br />insurance coverage. <br />3 <br />
