0 bGJX l8 P-GE <br />the event Provider is the subject of a general assignment for the benefit of creditors or <br />upon the initiation of proceedings of any nature by third parties against Provider under <br />any federal or state law for the relief of debtors which is not dismissed within thirty (30) <br />days after the filing of a petition therefor. <br />d. Termination on the Appointment of a Receiver. Either party may <br />terminate this Agreement on one (1) day's prior written notice to the other party, in the <br />event the other party is the subject of the appointment of a receiver to take charge of its <br />affairs. <br />e. Termination on Closing or Change of Use. Either party may <br />terminate this Agreement on six (6) months prior written notice to the other party. <br />f. Effect of Termination. As of the effective date of termination of <br />this Agreement, neither party shall have any further rights or obligations hereunder <br />except for rights and obligations accruing prior to such effective date of termination, or <br />arising as a result of any breach of this Agreement. Notwithstanding the foregoing, the <br />following provisions shall survive the expiration or other termination of this Agreement, <br />regardless of the cause of such termination: Articles 5., 6.a., 7.c. 9., 11., 15., and 16. <br />3. REPRESENTATIONS AND WARRANTIES <br />Provider represents and warrants' to County, upon execution and <br />throughout the term, as follows: <br />a. Capacity to Perform. Provider is not bound by any agreement or <br />arrangement that would preclude it from entering into or from fully performing its <br />services under this Agreement. <br />b. Legal Compliance. Provider shall perform the services required <br />hereunder in accordance with all applicable federal, state, and local laws, rules and <br />regulations. <br />C. Provider's Licenses. Provider has, and shall maintain throughout <br />the Term, all appropriate federal and state licenses and certifications that are required for <br />Provider to perform the services required of Provider under this Agreement. <br />d. Staff Licenses. Provider and all "Provider's Staff' (as defined in <br />Article 5.b. below) have, and shall maintain throughout the Term, all appropriate licenses <br />and certifications in the State and any medical or professional staff privileges at Hospital <br />required in order for Provider's Staff to perform the functions assigned to them by <br />Provider under this Agreement. <br />4.
