Elu"vX i~ PGG~ $~.8 <br />EMERGENCY MEDICAL SERVICES AGREEMENT <br />This EMERGENCY MEDICAL SERVICES AGREEMENT ("Agreemenf) is <br />made as of this day of , 2002 by and between AMISUB OF <br />NORTH CAROLINA, INC. DB/A CENTRAL CAROLINA HOSPITAL ("Provider") <br />and the COUNTY OF LEE, one of the counties of the State of North Carolina, and a <br />body both politic and corporate under the laws of the State of North Carolina ("County"). <br />RECITALS: <br />A. Provider operates a general acute care hospital known as Central Carolina <br />Hospital (the "Hospital') located in Sanford, Lee County, North Carolina ("State"); and <br />employs and contracts with qualified providers to manage or provide medical services for <br />residents of County. <br />B. County desires to contract with Provider for the provision of the County's <br />emergency and non-emergency medical services and Provider desires to provide such <br />emergency and non-emergency medical services on behalf of County. <br />NOW, THEREFORE, in consideration of the premises and mutual covenants <br />herein set forth in this Agreement, the parties agree as follows: <br />1. EXCLUSIVE ENGAGEMENT <br />County has adopted an ordinance, which grants to Provider an exclusive <br />franchise to provide emergency ambulance service and an exclusive franchise to provide <br />non-emergency ambulance service, and Provider hereby accepts these franchise grants <br />and agrees, to provide emergency medical service (the "Service") on an exclusive basis <br />for the County's residents, in accordance with the terms of this Agreement. County shall <br />not contract with any other person or entity for the provision of emergency medical <br />services during the term of this Agreement. <br />2. TERM AND TERMINATION <br />a. Term. Unless earlier terminated as provided hereinbelow, the term <br />of this Agreement ("Term") shall be for a period of five (5) years, commencing July I, <br />2002 (the "Commencement Date"). <br />b. Termination for Breach. A non-breaching party may immediately <br />terminate this Agreement upon written notice to the other in the event of a material <br />breach of any provision of this Agreement by the other party which continues for thirty <br />(30) days after receipt by the breaching party of written notice thereof from the non- <br />breaching party. <br />C. Termination on General Assignment for the Benefit of Creditors. <br />County may terminate this Agreement on one (1) day's prior written notice to Provider in <br />
