BGNN 19 PACE 337 <br />the NCDOT and the Purchaser desires to proceed with developing and <br />delivering the proposed stream mitigation, the Seller will grant to Purchaser, <br />its successors and assigns, a Conservation Easement in the form attached <br />hereto as Exhibit "A", at a unit price of $_L' per acre (the "Purchase <br />Price' If this Option is exercised, the Option Money shall be credited <br />against the Purchase Price. If the Option is not exercised within the term of <br />this Option, the Option Money paid to Seller shall be retained by Seller as the <br />price of this Option and Purchaser's rights hereunder shall cease and <br />terminate. <br />Section 1.3 The Purchaser will be responsible for all costs associated with providing the <br />proposed stream mitigation, including but not limited to preparing the <br />required studies and investigations; preparing technical and cost proposals for <br />NCDOT; all required surveys; all legal fees associated with preparing the <br />required Conservation Easement Agreement; all environmental documents <br />and permits; the construction of said site including grading, new stream <br />channel relocation if necessary to the design, planting trees, and planting <br />ground cover; monitoring site for five years; and transferring all property <br />interest in the site to the NCDOT by means of a conservation agreement <br />guaranteeing protection in perpetuity. <br />Section 1.4 Purchaser shall pay Seller one hundred percent (100%) of the Purchase Price <br />within thirty (30) days of the grant of the Conservation Easement. <br />Section 1.5 Seller agrees for said Stream Mitigation area to remain in a Conservation <br />Easement forever and to allow Purchaser and/or receiving non-profit land <br />conservancy or NCDOT to have access to review, monitor and maintain <br />Easement Area as set forth in the Conservation Easement. <br />Section 16 Seller understands that after Conservation Easement has been transferred to <br />Purchaser and/or receiving non-profit land conservancy or NCDOT, that <br />Seller of Conservation Easement will retain ownership of said property; <br />however, land uses must conform with restrictions contained in Conservation <br />Easement to provide wetland mitigation. <br />IN WITNESS WHEREOF, the parties hereto have executed this Contract under seal on the <br />dates set forth under their signatures below. <br />2 <br />
