r <br />ucos ~u FacE ti,9 <br />repairs or improvements within a reasonable time to conform the Premises to the <br />applicable law, regulation, or ordinance; <br />(b) At any time upon sixty (60) days notice upon dissolution of the <br />Lessee's agency; <br />(c) At any time upon one hundred twenty (120) days notice when <br />sufficient and adequate square footage or other space is not available for use by the <br />Lessee for normal operations and maximum efficiency, to be solely determined by the <br />Lessor; or <br />(d) Upon the breach of any covenant or condition of this Lease <br />Agreement. <br />3. Covenants of Lessee. <br />(a) Rent. Lessee covenants and agrees to pay rent at the time and in <br />the manner required in this Lease, except only in the case of fire or other unavoidable <br />casualty as provided in this Lease. <br />(b) Utility charges. Lessee covenants and agrees to pay all charges for <br />water, sewage disposal, gas, electricity, light, heat, power, telephone or other utility <br />services used, rendered or supplied to of for the Premises and to contract for the same in <br />Lessee's own name. <br />(c) Operating expenses. Lessee covenants and agrees to pay all costs <br />and expenses of operations on or relating to the Premises, including costs and expenses of <br />utilities, trash and garbage disposal, janitorial and cleaning services, gardening and <br />landscaping services, security services, removal of snow and ice from parking areas, <br />sidewalks and driveways serving the Premises, painting, replacement of damaged or <br />broken glass and other breakable materials in or serving the Premises and replacement of <br />lights and light fixtures in or serving the Premises, and to contract for the same in <br />Lessee's own name. <br />(d) Maintenance and repair expenses. Lessee covenants and agrees to <br />maintain, repair, replace and keep the Premises and all improvements, fixtures and <br />personal property thereon in good, safe and sanitary condition, order and repair in <br />accordance with all applicable laws, ordinances, orders, rules and regulations (including, <br />without limitation, the Americans with Disabilities Act) of governmental authorities <br />having jurisdiction, now existing or hereafter enacted; to pay all costs and expenses in <br />connection therewith; and to contract for the same in Lessee's own name. All <br />maintenance and repairs by Lessee shall be done promptly, in a good and workmanlike <br />fashion, and without diminishing the original quality of the Premises. Lessor shall be <br />responsible for and shall bear the costs and expenses of replacement of, or extraordinary <br />maintenance and repairs to, roofs, exterior walls, and structural elements of the Premises, <br />2 <br />
