0 530K 20 PIGF 158 12. Covenant of Sandhills Center. Sandhills Center agrees to use its best efforts to provide delivery of high quality mental health, developmental disabilities and substance abuse services to residents of Lee County and Harnett County within existing finances. Sandhills Center is committed to the implementation of its Local Business Plan (LBP) and State/Local Management Entity Performance Contract within Lee and Harnett Counties. The Sandhills Center LBP supports the existence of a Community Access Point within each of Sandhills' counties and continued provision of community psychiatric services. Sandhills Center's ability to implement its LBP is conditional to its finances and direction from the North Carolina State Department of Health and Human Services. Sandhills Center will provide all services in the Lee- Harnett catchment area as required by law. 13. Pending Litigation and Claims. The Lee-Harnett Authority, Lee County and Harnett County specifically affirm and warrant that there are no pending litigation matters or claims, or potential claims or suits which would affect the terms of this Agreement or impair the ability of Sandhills Center to provide services in the Lee and Harnett County catchment area, with the exception of those expressly listed in Exhibit E attached hereto. 14. Financial Disclosure. Lee County, Harnett County and Lee-Harnett Authority hereby covenant and agree that they have provided to Sandhills Center all requested financial information concerning the operation of Lee-Harnett Authority, and further acknowledge and agree that Sandhills Center has relied upon said information in agreeing to accept this Agreement. Lee County, Harnett County and Lee-Harnett Authority represent that the financial information provided to Sandhills Center in this regard is complete and accurate. and does not contain any material misrepresentations, and does not omit any material information concerning the financial status of Lee-Harnett Authority. 15. Emnlovment Practices. To the best of their reasonable knowledge and belief. both parties are presently in compliance with all federal, state and local laws and regulations with respect to employment and employment practices, terns and conditions of employment, wages and hours. 16. Waiver. The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered a future waiver of the term or deprive that party of its right thereafter to insist upon strict adherence to that tern or any other term of this Agreement.
