0r 4 <br />excepted. Tenant shall also maintain in good condition such portions adjacent to the <br />Premises, such as sidewalks, driveways, lawns and shrubbery. <br />6. Alterations: Tenant shall not make any alterations, additions, or improvements, in, to or <br />about the Premises without first obtaining the written consent of Landlord, which shall not be <br />unreasonably withheld. Such alterations shall become fixtures to the Premises unless <br />otherwise agreed to by Landlord and Tenant, and shall not be removed upon the expiration of <br />the Lease. <br />7. Ordinances and Statutes: Tenant shall comply with all statutes, ordinances and <br />requirements of all municipal, state and federal authorities now in force, or which may <br />hereafter be in force, pertaining to the Premises, occasioned by or affecting the use thereof by <br />Tenant. <br />8. Assignment and Subletting: Tenant shall not assign this lease or sublet any portion of the <br />Premises without prior written consent of the Landlord, and Landlord will have sole <br />discretion in permitting any assignment or subletting. Any such assignment or subletting <br />without consent shall be void and, at the option of the Landlord, may terminate this lease. <br />9. Utilities, Roof, HVAC & Structural Foundation: All applications and connections for <br />necessary utility services to the Premises shall be made in the name of the Tenant, including <br />those for sewer, water. gas and electricity. Tenant shall provide for its own telephone service. <br />Landlord will deliver the Offices with all lights, electrical, plumbing, and HVAC systems in <br />good working order, and Tenant shall maintain the same during the term of this lease. Major <br />repairs ($1,000 or more) or replacements shall be the responsibility of the Landlord. <br />Landlord shall maintain the roof, gutter and drainage systems in good working order, <br />10. Trade Fixtures. All trade fixtures, merchandise, supplies, machinery, equipment and <br />movable apparatus owned by Tenant and/or installed in the Premises shall remain the <br />property of Tenant and shall be removable from time to time and also at the expiration of the <br />Lease Term or any renewal or extension thereof, or other termination thereof, provided <br />Tenant shall repair any damage to the Premises caused by the removal of said trade fixtures. <br />11. Entry and Inspection: Tenant shall permit Landlord or Landlord's agents to enter upon <br />the Premises at reasonable times, upon reasonable notice and while minimizing the disruption <br />to Tenant's business, for the purpose of inspecting the same. and will permit Landlord at any <br />time prior to the expiration of this lease, to place upon the Premises any usual "To Let" or <br />"For Lease" signs, and permit persons desiring to lease the same to inspect the Premises, in a <br />similar manner as set forth in this Section, thereafter. <br />12. Possession: 'Tenant may occupy and begin using the Premises prior to the <br />Commencement Date (the -Occupancy Date) provided that Tenant has in effect insurance <br />coverage under paragraph 15. below. and has placed all utilities in the name of the Tenant. <br />Tenant also agrees to reimburse Landlord pro rata for ad valorem taxes and insurance <br />coverage starting at the Occupancy Date. <br />2 <br />
